Nous recherchons un(e) Conseiller(ère) Juridique Sénior(e) pour travailler en étroite collaboration avec le Conseiller Juridique Général, secteur Minéraux, ainsi qu’avec le groupe de produits Minéraux. The role will support the General Counsel, Minerals in providing outstanding strategic legal support to the Iron Ore Company of Canada, Diavik diamond mine and US Borates.

Reporting to the General Counsel, Minerals and working in a challenging and exciting environment, within the legal department, you will be:
Providing strategic advice across a broad remit of legal issues including commercial contracts, environmental, and disputes as well as strategic legal support to the Iron Ore Company of Canada, Diavik diamond mine and US Borates
Supporting the management of major legal and commercial risks
Providing leadership in the broader Legal, Governance and Corporate Affairs function

What you’ll bring

Qualifications And Experience

Proficiency with securities law, including familiarity with applicable National Instruments and their application to corporate governance and continuous disclosure.
Experience in the energy and/or infrastructure industry is considered an asset but not required.
Licensed to practice in Ontario, and in good standing.

THE ORGANIZATIONAL SETTING
The Legal Affairs and External Relations Bureau (LEB) provides advice and assistance on legal and external relations matters generally and in support of ICAO’s Strategic Objectives, to the ICAO Member States, the Governing Bodies, the President of the Council, the Secretary General, and other ICAO Bureaus, Offices and Regional Offices. Assisting with information barriers and document security management as needed
Assist with training firm Legal Administrative Assistants, lawyers and business services staff in understanding the firm's new matter intake, conflicts, Anti Money Laundering, and other compliance procedures
Undertake various related special projects as required
Involved in leading business clearances across Dentons offices

External Partnerships
Provide technical expertise and legal advice to support the expansion of BDC's partnership programs, particularly for underserved and diverse entrepreneurs.
Provide legal advice for the negotiation, operationalization and support of strategic partnerships and joint ventures, including the drafting of legal documentation and supporting decision-making authorities with respect to legal risk management.
Identify, engage and consult with internal and external experts to support sector specific initiatives.
WHAT WE ARE LOOKING FOR
Bachelor’s Degree in Law and/or Juris Doctorate
Member of a Canadian provincial bar or law society
Minimum of 4 years of relevant experience, including banking or financial services law.
In-house experience with a regulated financial institution an asset
Understanding of the legal and regulatory environment governing financial institutions in Canada an asset.
Bilingualism, written and spoken, in English and French
Project Management: experience in designing, implementing and tracking project plans, resource allocation and budgets.
Partnership Negotiation: Expertise in structuring, negotiating, implementing and supporting partnerships and similar transactions.

Negotiate investment management agreements on behalf of Fidelity Investments Canada (FIC), DB product and service maintenance/development
Draft and negotiate vendor contracts and track all legal issues which may affect the negotiation of vendor contracts.
Review/consider all pertinent issues which arise in the context of negotiations.
Track all relevant securities & pension law issues which may affect the negotiation of investment management agreements on behalf of FIC.
Provide advice and services in respect of the maintenance and development of mutual and pooled funds.
Draft and update material contracts, as required.
Provide support to any other relevant issues associated with product development and maintenance
Support the procurement and vendor onboarding process and understand the procurement and vendor onboarding policy.
Participate in document review committee meetings and reviewing and supervising the review of marketing materials
Provide general legal advice including in the following circumstances
Review and coordination of fund investment as well as other corporate action documentation (e.g., subscription agreements for private placements)
Provide support to the compliance department (e.g., compliance certificate review, 81-102 investment restrictions)
Partake in reviewing corporate contracts, operational issues, and Intellectual property issues (e.g., FIC-related trademarks)
Review and supervise review of marketing pieces, including website disclosure
Provide consultation for special projects within FIC and partake in steering committees where applicable
