Your Role
Reporting to an Account Manager based in our global office in Vilnius, Lithuania, you will maintain and develop multiple business relations with clients, Citco offices, law firms and other third parties.
You will be responsible for overall supervision of the designated portfolio of clients ensuring that all client queries and requests are processed and completed in a timely manner, efficiently and qualitatively.

What You'll Do
Co-ordination of Corporate Services Department workflow where large mandates are received, monitoring TOR Corporate Services email account to ensure requests are picked up by team members, and assignment of work to Clerks based on existing skills and development needs.
Management of physical corporate records collection and assisting Manager, Corporate Services with review of corporate database records as needed to ensure they are properly maintained, up-to-date and used effectively.
Monitor updates to corporate federal and provincial legislation and work with firm lawyers to review, analyze and research corporate federal and provincial legislation, amendments and regulations. Assist with development and/or updating of corporate precedents accordingly.
Assessment of department practices and processes to ensure they are in accordance with national Corporate Services Department policies and procedures. Assist Manager, Corporate Services in determining ways to improve efficiencies and ensure consistency in work product of the department.
Participate in the implementation of technological solutions to improve delivery of services for internal and external clients, as it relates to Corporate Services.
Ongoing training, skill assessment and mentoring of more junior team members to ensure continuous development. Mentoring and training of Toronto Corporate Services Legal Administrative Assistants to ensure continuous development and consistency of practices and work product.
Act as “go to” for Toronto Corporate Services Department members for questions and guidance on corporate procedures.

What You Bring
Law Clerk diploma OR equivalent legal experience
10 years’ of progressive experience in a corporate services position with extensive experience with complex corporate transactions and reorganizations
Knowledge of legal and technical procedures, statues, regulations and applicable governmental practices is mandatory.
Enthusiastic team member able to work independently and collaboratively
Prior mentoring experience is considered an asset

Reporting to the Director, Legal Affairs in the Investment deparment in Montreal, you will join the Transaction team composed of other attorneys dedicated almost exclusively to investments, disposals, development and real estate financing operations for the company, worldwide. You will be working with other members of the Legal Affairs department, which includes lawyers and paralegals.
Your primary responsibilities will be:
Performing day-to-day activities in a legal function encompassing a wide variety of general corporate, commercial matters and investment transactions;
Reviewing, drafting and/or negotiating of corporate and commercial agreements (confidentiality agreements, Letters of Intent, Purchase and Sale Agreements, partnership agreements, asset and property management services agreements, various closing documents, financing agreements, co-owners agreements, and others) to ensure the interests of Ivanhoé Cambridge are protected, providing feedback and advice to internal clients;
Participate in the legal due diligence process required for transactions;

Drafts and negotiates complex commercial contracts, memoranda of understanding and other legal documentation
Accountable for matters within an assigned portfolio of legal work grouped by business unit, program or project as assigned by a senior lawyer
Works effectively with various agencies, departments and levels of management within and external to the organization, including engineers, program managers, business and financial analysts, consultants and executives
Directs and manages external counsel on multiple projects
Advises and leads presentations to all levels of management, including briefings of Senior Management and Division Heads
Understands how to prioritize tasks, push files forward and escalates issues appropriately
Maintains an awareness of current provincial and federal legislation and regulations that may impact Metrolinx; recommends amendments to existing policies and procedures arising from relevant legislative or regulatory changes; provides advice/opinions on the interpretation of legislation
Provides proactive and strategic legal advice to organization outside of specific legal assignments
Assists with developing training and mentorship programs for junior lawyers and students

What skills & qualifications do I need?
Completion of a degree in law (JD or LLB)

Membership in the Law Society of Ontario as a Lawyer in good standing is required
