THE ROLE IN A NUTSHELL

 

The Senior Legal Counsel [Insurance] will be responsible for providing insurance advice to the entire insurance line of business and will also manage transactional (M&A) and regulatory matters for the group of companies.

 

  • Acts as Senior Legal Counsel, providing advice to the insurance line of business on insurance regulatory law, development and distribution of insurance products (including travel insurance),market conduct requirements and marketing law, as well as all licensing issues (federal and provincial)
  • Reviews, revises and negotiates contracts and contract terms for corporate and insurance contracts
  • Provides legal counsel and advice enabling initiatives regarding new products delivery, marketing and distribution to customers
  • Leads the internal legal due diligence effort for the group of companies, conducting an overall evaluation of target companies’ contracts and liabilities and identifying risk and insurance related issues either impacting transaction value or requiring additional coverages post-close; manages and liaises with external counsel as appropriate
  • Consistently embraces GSC’s Mission and Values, as well as GSC leadership

 

WHAT WE ARE LOOKING FOR

 

  • 7 to10 year post-call relevant experience at a large firm or in-house department in commercial, corporate, M&A and insurance law.
  • J.D or equivalent
  • Member in good standing with the Law Society of Ontario.
  • Demonstrated experience in advising on insurance regulatory law, including the development and distribution of insurance products, market conduct requirements and marketing law, as well as both federal and provincial licensing.
  • Demonstrated experience in M&A, leading the internal legal due diligence effort, conducting an overall evaluation of target companies’ contracts and liabilities and identifying risk and insurance related issues either impacting transaction value or requiring additional coverages post-close.
  • Superior written and verbal communication skills, including service and distribution contracts
  • Capacity to work independently
  • Capacity to people manage with the frame of mind to empower and develop direct reports to stretch their potential
  • Ability to prioritize and work in a fast-paced environment
  • A thought leader and strong critical thinker who understands how to navigate through complexity and build consensus throughout the organization and to successfully build relationships across all of levels of business
  • Organizationally savvy with the ability to influence decision making at operational and corporate levels as well as to provide clear customer-oriented legal advice and support in a timely and professional manner
  • Solution-driven and practical approach to tackling challenges and the legal needs of the business
  • Ability to effectively manage external legal resources
  • Bilingualism (English-French) preferred.
