Job Description

What You’ll Do: Western is seeking a Legal Counsel to support the Company in the preparation, development, and handling of a wide range of legal matters and processes in all areas of the Company’s business in a proactive and business-focused manner.

A key focus of the role will be reviewing, drafting and negotiating a broad array of commercial agreements; advising on corporate governance matters; developing and maintaining legal templates and precedents tailored for the needs of the business; and working with internal and external stakeholders to support the Company’s business goals by providing superb legal advice. It will also involve supporting in a variety of corporate transactions, including overseeing closing deliverables, managing due diligence processes, and instructing external counsel.

You will be a key member of the business, acting as the first point of contact for internal stakeholders, including triaging legal inquiries and requests and delivering practical legal advice. The ideal candidate for this position has a positive attitude, great interpersonal skills, strong desire to learn and tackle new challenges and a track record of delivering exceptional results.

Who You Are: Our ideal candidate has a degree in law and is a member in good standing with the Law Society of British Columbia or other provincial association. Additionally, the candidate will have 3-4 years relevant experience at a corporate/commercial law firm or in-house legal department. Experience in forest products or other resource-based industries is considered an asset.

Work Environment: We are currently working in a hybrid work environment. Expectations for the time being are that this role will be a mix of working from home and work from office with proper safety plans in place.


Contract Review and Management

  • Draft, review and negotiate a broad range of commercial contracts and arrangements, including service agreements, technology agreements, supply agreements, and non-disclosure agreements. Work with various departments to ensure that contractual and legal risks are appropriately identified and mitigated
  • Develop, review, and maintain templates and precedents, including proactively identifying and implementing changes to address risk exposures identified through administration of existing contracts
  • Educate and provide support to other business units on templates, precedents and the Company’s contract management policy and process
  • Assist in optimizing the Company’s contract review and document retention processes

Key Responsibilities

  • Act as the first point of contact for the legal team, including responding to routine day-to-day legal inquiries, resolving issues collaboratively with other business units and triaging legal inquiries and requests
  • Assist with a variety of corporate transactions (acquisitions, divestures, partnerships, joint ventures, and financings), including managing due diligence, drafting closing documents and liasing with external counsel
  • Conduct legal research on diverse and developing legal issues impacting the Company’s business and provide legal advice on the interpretation of contracts and relevant federal and provincial legislation
  • Stay abreast of legal and regulatory changes impacting the Company’s business, including federal and provincial legislation, orders, case law, public company compliance, ESG and other regulatory developments relating to the forestry sector and First Nations relations in order to provide cutting-edge and proactive advice
  • Assist with corporate governance matters, including; reviewing quarterly and annual disclosure documents, preparing board of directors and committee materials for the Company and its affiliates and joint ventures (including those with First Nations), minute taking for meetings of the Company’s affiliates, and preparing annual general meeting materials
  • Review and revise the Company’s legal, governance and other corporate policies on a periodic basis to identify and address potential compliance risks and assist in creating and implementing education programs on such policies
  • Assist in the resolution of contract claims and other legal disputes
  • Assist in managing external counsel, including communicating instructions and managing legal spend
  • Perform such other duties as assigned by the Director, Legal or Vice President, General Counsel and Corporate Secretary


Education and Experience

  • Law degree from a recognized university
  • Member in good standing with the Law Society of British Columbia, or other provincial association (preference given to BC)
  • 3-4 years of relevant experience at a corporate/commercial law firm or in-house legal department
  • Experience in forest products or other resource-based industries is an asset
  • First Nations economic development and legal experience an asset
  • Prior in-house and forestry experience is an asset
