Overview:

You are a T-shaped lawyer with 1-4 years of experience in general corporate commercial matters and some media experience who is looking for more complex challenges across many areas of practice. This position will involve working both with the General Counsel and a wide array of internal clients, including: the content areas of Digital Learning, and Current Affairs and Documentaries (both broadcast and online); Process and Technology; Distribution Services (i.e. Transmission towers, etc.); People & Culture (HR); Revenue, Marketing and Product Development; Philanthropy and Sponsorship; Communications; and the Independent Learning Centre (Highschool). The work is concentrated on in-house corporate legal services in a media and digital product organization with an emphasis on contract drafting, copyright and intellectual property and partnership advisory work.

The successful candidate will be a T-shaped customer-focused lawyer that can build and maintain excellent relationships with internal clients.

They will have strong drafting skills with an eye to critical details, a solid background in corporate-commercial work and exposure to traditional IP, content and technology licensing. Comfort with databases, data analysis, project management, process improvement, and client relationships is important. In-house legal experience would be ideal. Media production and digital product experience is desirable, but not critical.

Specific Accountabilities:

Provide legal, business and strategic advice to internal clients, including:

  • Contract negotiation and drafting in the media and digital product industries;
  • Contract interpretation and review of third-party contractual agreements;
  • Development of templates and standard form contracts, particularly for revenue and partnership arrangements; service agreements and other contractual arrangements;
  • Withdrawal from negotiations and contract termination, business and legal implications of bankruptcies and reorganizations;
  • Advising on business risk and negotiating positions with respect to media and digital product deals;
  • In conjunction with the General Counsel, determine strategy for and prepare legal submissions in response to all real and potential claims against, or on behalf of TVO, and recommend legal recourses available to TVO, including engaging with outside counsel;
  • Advising on contest parameters, and create and/or review supporting documentation;
  • Provide answers to a wide variety of copyright-related questions and provide hands-on support and advice;
  • For on-air and online content, make recommendations as to whether and under what circumstances, use of third-party intellectual property is acceptable or appropriate;
  • For on-air and online content, make recommendations regarding any legally necessary script or other content changes;
  • Interpret regulations and legislation as might apply to different business lines and activities at TVO including charitable status, education policy, corporations act, privacy legislation, etc.;
  • Interpret Government Directives and Policy and provide advice regarding their effect on TVO.

QUALIFICATIONS & SKILLS:

  • An LLB or JD and a member of the Ontario bar.

  • Solid legal skills and a demonstrated ability to exercise good judgement (good judgement);
  • Clear understanding of delivering legal services in support of organizational objectives, and a client-oriented focus (business minded);
  • An established ability to work within a team environment, particularly with business teams (team player);
  • A people person with the ability to build and maintain internal and external relationships (relationship builder);

  • Ability to identify and locate information required to properly contextualize situations, and to provide appropriate responses and/or advice (knowledge management);
  • Highly developed verbal and written communication skills, to explain complex legal situations in clear and simple terms, and the ability to build and maintain client relationships (solid communicator);
  • Comfort with databases, data analysis, project management, process improvement, and client relationships (T-shaped lawyer);
  • Highly developed organizational, multi-tasking, time, stress and project management skills to deal with numerous urgent ad hoc requests, without compromising the quality of the work product being created or the advice being given (organized and comfort with ambiguity);
  • Discretion in dealing with confidential information, and the ability to identify information as such (maintain confidences);
  • Legal research skills, including the ability to quickly and thoroughly source relevant materials and synthesize results (diagnostic skills);
  • Demonstrated proficiency with various computer applications, including databases (technology proficient);
  • Strong drafting skills (contract drafting).
