The Ontario Securities Commission (OSC) serves as Ontario's capital markets regulator under the Securities Act and the Commodity Futures Act. The OSC's mandate is to protect investors, support fair and efficient capital markets, encourage capital formation, and promote financial system stability through effective regulation, policy development, oversight, and enforcement. The Commission also plays an important role in advancing securities regulation across Canada and internationally.

About the Trading & Markets Division

The Trading & Markets Division oversees many of Ontario's core market infrastructure organizations, including marketplaces, self-regulatory organizations (SROs), clearing agencies, and investor protection funds. The Division also leads regulatory initiatives involving dealer policy, derivatives, market structure, clearing and settlement, as well as emerging areas such as crypto assets and tokenization.

Position Overview

The OSC is seeking an experienced Legal Counsel II to join the Markets team within the Trading & Markets Division.

In this role, you will contribute to the regulation and oversight of Ontario's marketplaces by assessing compliance with securities legislation and applicable recognition or approval orders. You will also participate in reviewing new marketplace applications, supporting the ongoing supervision of crypto asset trading platforms, and contributing to regulatory policy initiatives involving market structure and dealer regulation.

This position offers an opportunity to work on complex legal and regulatory issues that influence the development of Canada's capital markets.

Qualifications

The ideal candidate will possess:

  • Membership in good standing with the Law Society of Ontario.

  • An undergraduate degree or equivalent academic credentials.

  • A minimum of five years' post-call legal experience, ideally involving Canadian securities regulation, capital markets, financial services, or a related regulatory environment.

  • Strong analytical and research skills, with the ability to evaluate complex legal and business issues and develop practical, well-reasoned recommendations.

  • A solid understanding of marketplaces and regulated market participants, including crypto asset trading platforms.

  • Demonstrated ability to evaluate the broader impact of regulatory decisions while balancing policy objectives with commercial realities.

  • Proven organizational skills and the ability to manage multiple priorities within established timelines.

  • Excellent written, verbal, and presentation skills.

  • Strong interpersonal abilities and a collaborative approach to working with colleagues and stakeholders.

  • Intellectual curiosity, sound judgment, initiative, and an interest in emerging technologies and innovation within financial markets.
