As the In-House Legal Counsel for Oasis Global Inc and its affiliated brands (Segway Powersports, Roost Factory, Hoosier Offroad), you will be a trusted advisor for the company- providing regulatory guidance and advice to management and deliver expert opinions to help management understand legal matters affecting business operations and transactions. Responsibilities will include, but not limited to drafting and negotiating a variety of agreements (e.g., Dealer contracts),providing counsel support/advice, manage services and other vendor agreements, assist with dealer litigation, contract negotiations and enforcement, as well as participate in business decision making processes. Success in this role will be demonstrated by providing timely and valuable legal inputs and solutions, and by helping management make sound and lawful business decisions.
Your Responsibilities
You will serve as a subject matter expert for commercial engagements, leading, drafting and negotiating complex client transactions, and providing advice on high impact and complex commercial transactions.
Responsibilities will include but are not limited to:
Provide legal support and advice to upper management on relevant legal issues
Daily activities include contract reviews, drafting deviation documents and legal memos, negotiating and working with the eternal corporate senior lawyers and various business groups
Ensure compliance with the internal controls, statutory regulations and other formalities
Provide legal analyses and risk assessments and participate in business decision making processes, providing practical and issue focused legal advice and recommendations in view of business needs and applicable legal and company policy requirements and standards
Review, draft, negotiate and manage legal aspects of all forms of commercial agreements, statement, including supporting pre-sales activities, in North America, and providing ongoing post-closing legal support
Advise on legal issues as they relate to funds, identify and help to mitigate legal and commercial risks for the business, including risks associated with the introduction of new products and services and/or expansion into new regions
Support the internal procurement team to help ensure compliance with business standards and policies
Interface with a highly collaborative and interactive Corporate counsel maximizing results with a focus on cost containment
Lead the legal aspects of commercial negotiations with internal and external customers and vendors in a variety of settings
Interact with business clients, management and outside customers in regard to drafting and negotiating the relevant and appropriate complex commercial agreements and transactions
Execute procedures for protecting patents, trademarks, and industrial designs
Keep up with current changes on all relevant areas of laws and contributing to the enhancement of the knowledge base of the company’s legal function
Develop and maintain contracting templates and playbooks for all commercial matters
Handle litigation
What You Will Bring
Law degree and license to practice law in Ontario (multiple provincial licenses is a strong asset)
2+ years experience working in a major law firm or in-house legal counsel in a corporate / commercial capacity is an asset
4-6 years working experience as a Legal Counsel
Litigation, Arbitration experience required
Powersports Industry knowledge, experience and interest an asset
Proven decision making, analytical and problem-solving skills with experience resolving complex issues
Excellent corporate and commercial legal skills, including the ability to negotiate contracts and focus on details while understanding larger corporate goals
Experience drafting and negotiating, commercial contracts, license agreements, master services agreements, transitional services agreements, non-disclosure and confidentiality agreements
Strong business acumen, client-service oriented with a proven commitment to quality.

Position Description
The SickKids Legal Services team is looking to add a collaborative and proactive Legal Counsel with experience in Intellectual Property (IP) law and all aspects of technology transfer, including licensing. Reporting to the Legal Department and having accountability to the Industry Partnerships & Commercialization (IP&C) Team, this role will provide legal support on a variety of medical/scientific research-related matters, with an emphasis on matters involving IP development and commercialization.
Here's What You’ll Get To Do:
Work closely with IP&C personnel in supporting a variety of IP commercialization matters, including the creation and support of start-up companies.
Review/draft/negotiate IP-based contracts at an industry- and investor-friendly pace, including IP license agreements, industry sponsored research agreements, services agreements.
Review/draft/negotiate/advise on other research contracts for a portfolio of medical/scientific researcher clients, including clinical trial agreements (CTAs), Registry/Bio-Bank Agreements, Consortium Agreements, material transfer agreements (MTAs).
Identify, address and manage legal needs in support of the Hospital’s business and strategic objectives through effective fact-finding, research and the provision of high-quality legal advice and in a manner that reflects the organization’s risk tolerance.
Support implementation of strategic and operational initiatives.
Monitor changes to law relevant to the Hospital, and communicate developments/implications to management and staff, as appropriate.
Identify potential areas of legal risk/opportunity and make recommendations on risk tolerance and mechanisms to manage risk/opportunity.
Develop strong professional relationships with internal and external stakeholders to facilitate ongoing communication throughout the organization, to anticipate and proactively manage legal needs and risks, and to keep current on best practices and emerging trends in legal practice within relevant sectors.
Here’s What You’ll Need:
You must possess a Bachelor of Laws or Juris Doctorate and be a lawyer in good standing with the LSO.
The ideal candidate will have a minimum of five years’ post-call experience in private practice, in-house, in the life sciences industry, tech transfer office or a combination thereof, with a focus on life sciences licensing and other foundational IP arrangements.
Experience working within a hospital or other healthcare sector organization is an asset.
Strong preference will be given to lawyers who have expertise working with medical/scientific-related contracts, privacy law, IT law and/or artificial intelligence initiatives.
We are seeking service-oriented lawyer with strong conceptual thinking and decision-making skills, who can manage a high volume of competing priorities.

JOB SUMMARY
Legal Services provides a comprehensive and complex range of legal services to elected officials, all City of Ottawa departments, and various boards and commissions (i.e. Ottawa Police Services Board, Ottawa Community Land Development Corporation and the Ottawa Public Library), in the areas of civil litigation, labour and employment law, prosecutions, and corporate, municipal, planning, development, environmental, and commercial law.
You are responsible for conducting prosecutions and appeals of offences under the Provincial Offences Act relating to provincial statutes, provincial regulations, and municipal by-laws and for providing general paralegal and administrative duties related thereto.
EDUCATION AND EXPERIENCE
Completion of 2 year community college diploma in law enforcement, Court and Tribunal Agent Program or related field
Minimum of 5 years of experience in the relevant field
Significant and demonstrated experience prosecuting or defending municipal and provincial offences in the Ontario Court of Justice
Experience ensuring compliance with Ministry of the Attorney General standards for Provincial Offences Act prosecutions
Relevant experience in a law office or as a paralegal
KNOWLEDGE
Thorough working knowledge of the Provincial Offences Act, Highway Traffic Act, and other related provincial statutes, regulations and municipal by-laws, and the Charter of Rights and Freedoms
Working knowledge of function and responsibilities, processes and administration of the Provincial Offences Courts, trial and appeal procedures, rules of evidence and other applicable legislation, rules and practices
Working knowledge and familiarity with investigative techniques employed by enforcement agencies, including enforcement tools and technologies
Theory and practice of oral and written advocacy
Knowledge of applicable health and safety legislation, including the rights and duties of workers.
Working knowledge of ICON software is desirable
COMPETENCIES, SKILLS AND ABILITIES
Demonstrated negotiation skills
Deal tactfully and effectively with judiciary, legal profession, enforcement agencies and general public
Manage conflict resolution and possess strong verbal, written and presentation communication skills
Knowledgeable, team player, ability to multi-task and process high volumes of work accurately, effective communicator, work with minimum supervision, tactful and diplomatic in high conflict situations, ability to prioritize and work to deadlines, highly organized and effective time manager.
