Role Overview:

Our Client is seeking a talented Transactional / Corporate-Commercial Lawyer with mid to senior-level experience to join our dynamic team. The ideal candidate will have a strong background in corporate law, with expertise in transactional matters and commercial contracts. Experience in charity law is considered a significant bonus.

Key Responsibilities:

  • Provide legal advice and support on a wide range of transactional and corporate-commercial matters, including mergers and acquisitions, corporate restructuring, and corporate governance.
  • Draft and review commercial contracts, agreements, and other legal documents to ensure compliance with applicable laws and regulations.
  • Conduct due diligence reviews and assist with the negotiation and documentation of transactions.
  • Advise clients on charity law matters, including incorporation, compliance, and governance issues related to non-profit organizations and charitable entities.
  • Collaborate closely with clients to understand their objectives and provide strategic legal solutions tailored to their needs.
  • Stay updated on relevant legal developments and best practices in transactional law, corporate governance, and charity law.

Qualifications:

  • LL.B. or J.D. from a recognized law school.
  • Member in good standing with the Law Society of Ontario.
  • 5+ years of experience practicing transactional / corporate-commercial law, preferably in a reputable law firm or in-house legal department.
  • Strong understanding of corporate law principles and transactional processes.
  • Experience advising clients in the non-profit sector and a solid grasp of charity law is highly desirable.
  • Excellent communication skills, both written and verbal, with the ability to effectively convey complex legal concepts to clients and colleagues.
  • Demonstrated commitment to social justice and community engagement.
