THE ORGANIZATIONAL SETTING
The Legal Affairs and External Relations Bureau (LEB) provides advice and assistance on legal and external relations matters generally and in support of ICAO’s Strategic Objectives, to the ICAO Member States, the Governing Bodies, the President of the Council, the Secretary General, and other ICAO Bureaus, Offices and Regional Offices. With regard to legal matters, the Bureau is responsible for: the provision of legal advice to the Governing Bodies and the Secretariat on any issue of law, in particular on international law and air law; the general development of air law; the review of all agreements and contracts; and the performance of the treaty depositary functions of the Organization. With regard to external relations matters, the Bureau is responsible for: maintaining close and harmonious working relations with Member States; serving as focal point for the Organization’s relations with the Host Government; carrying out liaison and protocol functions; and monitoring and providing policy guidance and advice on current political events which might affect ICAO.
The incumbent Legal Officer provides legal support across multiple LEB workstreams, primarily working under the general guidance of the Deputy Director (DD/LEB) and the supervision of the Senior Legal Officer who is the focal point for LEB-CDI (Capacity Development and Implementation) matters. The incumbent will also work under the supervision of the Legal Officer, who is designated as Representative of the Secretary General for the resolution and adjudication of staff member appeals (Head, Appeals Unit). Draft, review and provide legal advice on agreements to ensure they serve ICAO's interests and adhere to international business standards.

Conduct specialized research projects in diverse areas of law; collect, analyze, and synthesize relevant data, practices, procedures and usages, including Member States’ and comparator organization’s views and practices on particular issues relevant to the legal work of the Organization.
Assist in the development of working papers on legal subjects for the Assembly, Council, Legal Committee, and other representative bodies of the Organization.
Assist in the provision of Secretariat services for various standing boards, committees, ad-hoc working groups and task forces, as required.

Assist in the representation of the Organization in the conduct of negotiations on matters involving States, contractors and other parties and participate in meetings as required, addressing AI and intellectual property concerns as necessary.
Provide legal advice on agreements and negotiations involving licensing, partnerships, alliances, and revenue generation.
Prepare cease and desist notices to individuals or entities with regard to infringing on ICAO's intellectual property rights.
Assist senior officers in relation to arbitration and litigation proceedings, including UNCITRAL Arbitration matters, in which ICAO is implicated.

Provides legal advice and services in the area of international law and handles multi-disciplinary legal matters involving issues of private and comparative international law, to include interpretation and application of instruments in the area of concentration, achieving results such as:

Assist in the preparation of appropriate responses to correspondence from States raising legal issues or having legal implications as well as inter-office memoranda and other requests for legal advice received from other Bureaus/Offices.

Represent ICAO before formal and informal dispute resolution mechanisms (ombudsman proceedings, ICAO Appeals Board and/or the United Nations Dispute Tribunal (UNDT) proceedings (including hearings), appeals before the United Nations Appeals Tribunal (UNAT), and arbitration proceedings pertaining to personnel disputes.
Assist with providing legal advice and assistance in connection with personnel and dispute law practice matters, as needed.

QUALIFICATIONS AND EXPERIENCE
Education
An advanced level university degree (Master's degree or academic equivalent) in law is required. A day in the life of a Capital One Director, Assistant General Counsel.
In this role, you report to the Vice President, Canada Chief Counsel and have a broad range of responsibilities in providing legal guidance on current credit card products and new business strategies. You will partner closely with business teams and stakeholders in the customer acquisition, product development, marketing, and fraud space not only to support new initiatives but ensure our current offerings are well managed. Provide legal advice and support business partners on current products and business strategies.

Qualifications:
A law degree (LLB or JD) from an accredited law school and license to practice in Ontario.
At least 15 years experience in private practice, in-house legal department, or other work setting supporting business teams in the financial services industry.
Knowledge of the business and regulatory environment in which Capital One (Canada Branch) operates in particular, significant experience in advising on the Bank Act , including the Financial Consumer Protection Framework, OSFI Guidelines, Provincial Consumer Protection Laws, FCAC Guidance, marketing and credit bureau regulations.
Experience advising on fraud, complaints, and recoveries.
Knowledge of payments and commercial contracting, privacy and data protection laws.
Fluency translating legal advice into actionable guidance for business teams.
Ability to manage a large volume of work, including complex legal issues with minimal supervision.
Ability and willingness to work as a team player, and comfort interacting with associates across departments and job levels.
Proficiency in French is an asset.

Responsibilities:
Building relationships with respected legal practitioners and firms across Canada with a focus on Quebec to create content that reflects leading legal and business practices;
Reviewing, editing and/or writing practice notes, checklists, flowcharts, precedents and other practice-related materials;
Ensuring currency and relevancy of materials included in the product;
Monitoring information sources to identify and report on relevant news and updates regarding legal developments;
Working within a cross-functional team to execute on the content and product development strategies, and ensure the delivery of high-quality content within mandated timelines;
Contributing knowledge of the needs of legal practitioners to assist in the development of effective sales and marketing strategies and initiatives relating to the Quebec market; and Maintaining and managing relationships with key LexisNexis stakeholders within Canada, the US and UK.
Requirements:
Bilingual (french and english);
A Quebec civil law degree and/or member of the Barreau du Québec.
Applicants with a law degree from another jurisdiction with relevant experience will be considered.
Experience as a lawyer (minimum of 2 years, preferably 5+), in one or more of the following practice areas:
Corporate, Commercial, Litigation, Employment, In-House;
Superior legal research and practical writing skills and comfortable with author management;
Detailed understanding of the legal practice needs and workflow requirements within the identified practice areas and a sophisticated knowledge of trends in the Canadian legal marketplace;
Strong network of contacts currently in legal practice in Canada within the identified practice areas;
Strong, practical writer with the ability to write effectively and concisely within prescribed timelines;

Juris Doctorate

Contributes to the development of legal procedures as it relates to designing, drafting, reviewing, and approving marketing & promotional materials
Advises clients, manages, and oversees complex legal and business issues related to the production and distribution of toy premiums for toys that are included in the brands’ kids-meal programs globally, in compliance with various legislations and RBI’s standards
Provides legal counsel on complex marketing and promotional initiatives from a legal perspective, including advice on food claims, substantiation requirements, execution of sweepstakes/ contests/ loyalty programs, etc.
Serves as a critical partner to the Marketing department across all brands globally, including to Digital Marketing, Product Innovation, Privacy, and Sustainability
Advises brands on the collection, use and disclosure of new/ modified consumer data for compliance with laws across various countries, in alignment with industry standards and guidelines related to privacy and data security (e.g., CAN-SPAM Act, TCPA)
Directs in-depth research to monitor/ identify non-standard marketing-related violations and issues; resolves identified issues by providing appropriate advice to relevant internal and external stakeholders
Develops and delivers training, including developing materials, resources and presentations on relevant topics and legal know-how for the marketing and trademarks group
Manages litigation by leading and overseeing external counsel as it relates to marketing & promotions
Keeps abreast of pending legislation or regulatory rules impacting the business and provides recommendations to update internal procedures as necessary
Legal Trademark Advice
Contributes to the development of legal procedures as it relates to monitoring, reviewing, and managing global trademark & IP compliance in alignment with best practices
Advises clients, manages, and oversees complex legal and business issues related to the global trademark and IP portfolios for all brands under RBI, including supporting with compliance and reviews for trademark clearance, use, prosecution, maintenance, and enforcement
Provides legal counsel on compliance with complex consumer protection, intellectual property, rights of publicity and privacy laws (e.g., CAN-SPAM Act, TCPA) in connection with advertising and marketing initiatives
Oversees external counsel to manage complex trademark clearances, knock-out and full searches for U.S., Canada and other jurisdictions globally, provide clearance opinions to client groups, etc.
Oversees external counsel to manage filing and prosecuting trademark applications/ renewals, responding to office actions, preparing amendments and other substantive submissions to trademark offices globally, RBI’s patents, managing copyrights and domain name portfolios
Enforces RBI’s trademark rights globally by identifying and taking action against unauthorized 3rd party users
Manages litigation by leading and overseeing external counsel as it relates to trademarks & IP
Keeps abreast of pending legislation or regulatory rules impacting the business and provides recommendations to update internal procedures as necessary
Document Preparation
Drafts terms for complex promotional offers and conducts reviews of advertising/ promotional materials, including legal agreements, notices, letters, terms and conditions, contest rules and other correspondence, to ensure compliance with relevant legislations, RBI’s legal advertising guidelines, policies and substantiation requirements
Approves final marketing agreements (e.g., sponsorships, joint promotions) and marketing materials, including rules for contests and sweepstakes, to ensure proper usage of trademarks and other IP, determine IP clearance needs, clearance of marketing and promotional assets
Oversees and approves all media advertising and promotional materials for legal compliance, including television, radio, print, direct mail, online, mobile apps and social media
Negotiates various marketing, public relations and promotions-related agreements, including advertising agency agreements, trademark licenses, promotion and sponsorship agreements, media buying agreements, professional services agreements and vendor agreements
General Legal Support
Responds to escalated consumer complaints and/or attorney general complaints
Develops and delivers training materials, resources, and presentations on relevant topics and legal know-how for the IP/ Marketing group
Drafts responses to office actions, prepares amendments to documents, and prepares other substantive submissions for trademark offices globally
Prepares internal and external correspondence communications for highly confidential and sensitive matters
Develops the exception processes and situations with appropriate external counsel/experts
People Leadership Responsibilities
Manages a North America wide team of paralegals and lawyers
Directly supervises staff
Ensures appropriate number of staff, and mix of skills and abilities to effectively meet business demands
Monitors performance levels, including performance improvement plans and disciplinary action
Financial Responsibilities
This role has accountability for the payroll of direct reports
Minimum Education And Experience
Juris Doctor of Law degree from an accredited law school required
8+ years of experience in marketing/ IP/ corporate law is preferred
