Reporting to the Director, Legal Affairs, the Paralegal is responsible for drafting and reviewing contracts; managing and overseeing patent and trademark portfolios; contract administration support; corporate legal research; general legal matters; maintenance and management of legal databases; maintenance of corporate records; and provision of various legal support to internal and external stakeholders. Mitigating Medicom Group’s legal risks and protecting its assets while ensuring compliance with applicable local, provincial, state and federal laws.
The Paralegal will be primarily responsible for the following, but is not limited to:
Draft and review NDAs and basic agreements based on standard terms and conditions such as amendments and extensions to existing agreements, supply and distributions agreements, services agreements, and consulting agreements.
Manage and oversee patent and trademark portfolios.
Coordinate with internal and external stakeholders, including outside counsel, on matters such as patent and trademark registrations, and litigations.
Support the business units and the legal department by being involved in various corporate and commercial matters such as mergers and acquisitions, commercial transactions, business reorganizations and other intragroup transactions.
Maintain updated corporate profiles of legal entities part of the organization and coordinate maintenance of their corporate records and resolutions with the involvement of external legal advisers.
Become a resource in respect of the legal structure of the organization.
Maintain the legal department databases, including those for legal entities, contracts, and authorized signatories.
Assist with the execution, and maintenance of correspondence, corporate documents and records, contracts, and other documentation to ensure completeness and accuracy.
Support and coordinate the preparation of legal and regulatory documents requiring the involvement of external legal advisers in various jurisdictions.
Carry out corporate legal research.
Assist in standardizing corporate legal documents and creating a bank of corporate precedents.
Assist in special projects or creation of tools to enable process improvements.
Assist in ongoing efficiency opportunities and continuous improvement initiatives.
Assist in the preparation and review of presentations for legal department.
Perform other duties typical for a corporate paralegal.

EDUCATION, EXPERIENCE AND SKILLS
College Diploma in Paralegal Studies or equivalent academic experience.
Experience and Skills
Minimum of 5 years of working experience in corporate/commercial law, within legal department and/or law firm.
Fluent in English and in French.
Strong knowledge of the Microsoft Office 365 Suite (particularly Word, SharePoint, Teams, PowerPoint, and Excel)
Trademarks, patents, transactional, and litigation experience are strong assets.
Ability to work collaboratively in a cross-functional environment and handle multiple assignments in a fast-paced and changing environment.
Highly developed interpersonal skills with the ability to manage multiple stakeholders.
