Now Hiring: Legal Counsel Under the supervision of the Chief Legal Officer, Regulatory Division of Bourse de Montréal, within the Legal Affairs of the Division, the person provides legal advisory services to the Division's services. Key Accountabilities Provide legal advice in connection with the modification or development of new market integrity rules, and ensure that the Division's initiatives meet the requirements of applicable laws and regulations. Negotiate, draft and interpret commercial agreements and provide advice on contractual matters to the Division's services. Review and draft the Division's internal policies and procedures, in close collaboration with the Division's services. Provide legal support to Division services to ensure compliance with regulatory obligations. Follow developments in derivatives law and financial market regulation. As part of TMX’s legal and corporate affairs team, the Legal Counsel, Commercial Services is responsible for supporting TMX Group Limited and its affiliates on a variety of commercial and transactional matters across the enterprise. Key Accountabilities: Draft, review and negotiate a broad range of commercial contracts on behalf of various internal lines of business, including: Work closely with the vendor management team and business lines on all types of supplier contracts, including technology and intellectual property licensing, software development, SaaS, PaaS, cloud, outsourcing, professional services, support services and service levels, proof of concept, consulting services, leases, purchasing, distribution, revenue share and other commercial agreements Work with business lines to develop and maintain standard form agreements for products and services offered by the company in support of strategic initiatives and in the ordinary course of business Support the contract requirements for multi-faceted commercial transactions, including strategic projects and business alliance Provide legal advice and support for the development and execution of commercial strategies and initiatives, including support for the development and launch of new products/services and the procurement of new assets and technologies and outsourcing transactions Support internal reorganizations, acquisitions and divestitures Provide legal advice and support on a wide range of day to day commercial matters, including technology initiatives, information security, CASL and privacy-related matters, competition law, intellectual property, promotion and marketing materials, corporate policies, contract interpretation, commercial dispute resolution and litigation management Other duties, as assigned Must Haves: Called to the Bar of Ontario with membership in good standing with the Law Society of Ontario Qualified legal professional with at least 5 years of relevant, working experience Knowledge and experience drafting, negotiating, structuring and advising on various types of commercial contracts and transactions, including relating to all aspects of information technology and procurement Good overall understanding of intellectual property law and other technology-related legal principles Experience working on mergers and acquisitions is an asse Exceptional written and verbal communication, negotiation and drafting skills Excellent analytical and problem-solving skills and attention to detail Team oriented and able to build relationships with all levels of the organization. Key Accountabilities: Work with TSX Trust Company’s staff including the senior management team. Assist in guiding the business through regulatory changes and industry developments. Support TSX Trust Company through its ongoing integration with a recently acquired federal trust company. Support the contract requirements for sophisticated commercial transactions, including strategic projects and business alliances. Provide legal advice and support for the development and execution of commercial strategies and initiatives of TSX Trust Company When required, work with GCO’s other specialized legal teams, including Commercial, Regulatory and Governance, to ensure provision of the full suite of legal services to TSX Trust. Work with business lines to develop and maintain standard form agreements for products and services offered by TSX Trust Company in support of pivotal initiatives and in the ordinary course Provide legal advice and support on a wide range of commercial matters. Other duties, as assigned Must haves: Member in good standing of a Canadian Law Society Qualified legal professional with at least 5+ years of relevant, working experience. Knowledge and experience drafting, negotiating, structuring and advising on various types of commercial contracts and transactions. Knowledge of transfer agency/stock transfer and corporate trust industry products and services an asset. Financial services industry experience, familiarity with OSFI and its regulatory requirements an asset. Experience in securities and trust law an asset. Outstanding written and verbal communication, negotiation and drafting skills. Able to develop and maintain strong relationships with internal and external clients. Champions change and serves as a role model. Effectively and efficiently supports group efforts Team oriented and able to establish relationships with all levels of the organization. English/French bilingual an asset. High level of self-motivation and at ease working independently when necessary.
