Note this role will be reporting into our Cambridge Ontario head office. SPECIFIC RESPONSIBILITIES: 1. Contract Review and Negotiation : Review, draft, and provide proactive negotiation support on a variety of contracts, agreements, and legal documents for ATS’ North American operations. Development of contracting models that both meet the needs of the businesses and is cost effective; and then delivering upon those models. Ensure legal compliance and mitigate risks in contractual arrangements. 2. Legal Advisory: Provide legal guidance and advice to ATS' North American operations. Stay abreast of U.S. and Canadian laws and regulations affecting the industry and business operations. 3. Dispute Resolution: Manage and oversee legal disputes, litigation, and alternative dispute resolution processes. Work closely and cost efficiently with external counsel, when necessary. 4. Training and Development: Provide legal training to ATS’ North American operations, ensuring awareness of legal risks and compliance obligations. Foster a culture of legal and ethical awareness and compliance within the team and the organization. 5. Risk Management: Identify, assess, and mitigate legal risks associated with business operations to protect the ATS' interests and minimize legal exposure. Implement risk management strategies to protect the ATS' interests. Proactively ensure that all business activities are performed with highest ethical standards and in compliance with applicable laws. 6. Collaboration and Communication: As the need arises collaborate from time to time with cross-functional teams, including finance, corp. development and human resources in relation to mergers and acquisitions, HR, compliance, leasing, corporate, risk management, and other matters. Contribute to the Legal team’s efforts to continuously improve its services and the outcome for the business, Communicate legal updates and changes in the legal landscape to relevant stakeholders. QUALIFICATIONS Education: A J.D. or LL.B. and active membership in the bar association of the relevant U.S. and/or Canadian jurisdiction. Experience: Minimum 7 years’ experience Strong drafting, analytical, presentation, and negotiating skills Excellent business sense, commercial judgment, and decision-making ability Strong cross-functional collaboration skills and ability to influence others through demonstrated expertise Exceptional interpersonal, communications, project management, and organizational skills Ability to work collaboratively in a dynamic, multinational environment.
