What you’ll do: As our General Counsel, you will manage legal affairs for Northland Power Inc. and its affiliates, leading and scaling the function as we continue to build our global practices and processes. This includes managing the delivery of legal services from both internal resources and external legal advisors to support Northland’s strategic objectives. Reporting into the Chief Executive Officer, the General Counsel will be part of our executive leadership team and act as a trusted advisor to this group. You will also interact and manage issues related to our Board of Directors. Key Responsibilities
Provide the leadership team with strategic legal advice across a wide range of matters, including general corporate, corporate governance in a publicly traded company environment, risk management and compliance, securities regulation and public disclosure, commercial contracts, intellectual property, employment and litigation
Manage an international corporate structure by implementing and maintaining best practices in global entity management
Lead a global team of legal professionals to support execution of Northland’s strategic initiatives across all aspects of Northland’s business (including development, construction and operations) and maximize their potential, including coaching and guiding lawyers through their career development
Manage an international roster of outside counsel relationships that currently exist, and ensure that proper relationships are cultivated and developed as necessary
Implement and manage enterprise risk management policies and process appropriate for a rapidly growing international business
Provide senior management, the NPI Board and other functional groups with advice regarding strategic transactions and oversee internal and external legal resources to successful execute transactions and post-closing integration
Manage and provide advice to management regarding litigation matters impacting Northland Power Inc. and its affiliates

Qualifications and experience
Minimum of 15 years of legal experience, preferably with a blend of private top-tier national/international law firm and in-house experience

Strong understanding of Canadian corporate and commercial law; preference for candidates called to Ontario bar
Exposure to the renewable energy industry is desired
Experience managing an international compliance function including business ethics, anti-corruption, privacy
Experience with issues related to a publicly traded company and related compliance with securities laws and public disclosure matters

We are currently looking for an Associate General Counsel to join our Emera Corporate Legal team on a permanent basis. Reporting to the Emera Executive Vice President Legal and General Counsel, you will assume day-to-day leadership responsibility for a team of lawyers and manage relationships with Emera’s outside legal firms.
You and the Emera legal team will provide senior level commercial and legal expertise to the structuring, due diligence and terms of financings, mergers, acquisitions, joint ventures, greenfield developments and capital projects. Work with child protection staff and managers in pursuit of appropriate methods of Alternative Dispute Resolution options to achieve expeditious and satisfactory outcomes in child protection proceedings.
External Legal Communication: Ensure legal communication and documentation of same, with counsel for parents, children and other parties and persons as appropriate.
Communication with Outside Service Providers: Liaise regarding cases in Court, with outside community agencies, service providers and medical and educational professionals and services which may be involved in child protection matters, particularly when persons representing such agencies or bodies are required to attend at Court.
Liaise with the judiciary and administrative staff of Family Court and appellate Courts as necessary, with respect to case management.
Human Resources:
Assist in hiring and orienting department staff as required and assist with provision of orientation to legal services for other new staff members.
Ensure compliance with applicable legislation and the collective agreement and maintain a positive climate through attendance at regular team meetings, participation in problem solving and by resolving issues.
Staff Training and Development :
Train child protection staff on court-related aspects of the Child, Youth and Family Services Act and Family Law Rules and regarding presentation of matters before the Family Court, as required.
