Reporting to the Associate General Counsel, you will provide legal advice and support, primarily in connection with mergers and acquisitions, securities matters, and corporate and commercial law. You will be joining a sophisticated and results-oriented legal team that is part of a dynamic and challenging work environment. RESPONSIBILITIES Key responsibilities include, supporting the mergers and acquisitions team and other business functions in connection with a wide range of mandates, including acquisitions, cross-jurisdictional intercompany transactions and the drafting, review and negotiation of a variety of legal documents. For example, you will: Manage, independently or in collaboration with other team members, legal work related to mergers and acquisitions, restructurings, asset sales and other similar transactions Carry out, independently or in collaboration with other team members, legal work related to equity or debt financing Provide advice on various securities law matters that are relevant to reporting issuers, including continuous disclosure and timely disclosure matters Provide advice on various corporate law matters Provide advice on corporate governance and other matters that are relevant to the boards of directors of reporting issuers Coordinate and supervise legal work performed by external legal counsel   QUALIFICATIONS 2 to 5 years of work experience focused on mergers and acquisitions and corporate cases in a major law firm, the legal department of a large company, or both Member of the Barreau du Québec or a law society in another Canadian province or territory Extremely autonomous and motivated, strong analytical skills, ability to make solid and pragmatic legal arguments Good writing skills, ability to foresee and assess the consequences of legal advice for the company Well-developed interpersonal and teamwork skills Strong ability to work in a team setting Fluency in French and English, both oral and written     Offers of employment for safety-sensitive positions involving fieldwork are contingent upon candidates being able to perform key physical tasks of the job as described in the job posting and interview.
