About this role
The Senior Legal Counsel will assist with the provision of effective legal services for Samsung Electronics Canada and its subsidiary Samsung Ads Canada. The role will primarily focus on providing support for contract drafting and negotiation in the AdTech and consumer electronics space.

About this role
The Senior Legal Counsel will assist with the provision of effective legal services for Samsung Electronics Canada and its subsidiary Samsung Ads Canada. The role will primarily focus on providing support for contract drafting and negotiation in the AdTech and consumer electronics space.
As such the candidate should have experience with drafting and negotiating different types of technology agreements. The successful candidate will be expected to draft and negotiate service agreements, distribution agreements, leases, RFP’s and license agreements. The successful candidate will also be expected to provide support with respect to general corporate commercial matters, including regulatory compliance, privacy laws, compliance training, policy drafting and compliance investigations.
Responsibilities
Provide general legal advice to Samsung Electronics Canada and its subsidiary as requested by the General Counsel or Associate General Counsel
Negotiate and Draft a variety of different contracts with minimal supervision
Advise on regulatory matters, including monitoring and reporting on legislative changes that impact the business
Assist with legal and compliance training for both Samsung Electronics Canada and Samsung Ads Canada
Assist with corporate compliance investigations
Develop and draft policies to minimize risk and ensure compliance with applicable laws
Research and prepare summary reports providing guidance to business units based on analyzing and assessing legal risks
Liaise with legal staff and personnel in other departments and on projects
Requirements
Successful completion of a Bachelor of Law (LLB) program
A minimum of 6 years of experience practicing law, including legal training in corporate commercial law
Membership in good standing with the Law Society of Ontario or the law society of another Canadian province
Excellent written, verbal and analytical skills, with an ability to communicate complex issues in a simple and efficient way

The Senior Paralegal, Securities & Corporate will report to an Associate General Counsel within Pembina's Legal Services Unit and work in an administrative team of four providing support to the legal team. The successful candidate will be responsible for securities regulatory filings, corporate secretarial support and effectively organizing the administration activities of the legal team. The Senior Paralegal, Securities & Corporate will collaborate with a variety of people and job functions, within the organization and externally, to complete the responsibilities of this position. Responsibilities
Specific responsibilities include, but are not limited to:
Scheduling and assisting with the planning of Board and Committee meetings;
Working with management to prepare Board and Committee meeting agendas;
Assembly, preparation and distribution of Board and Committee meeting packages;
Maintenance of directors’ portal, including the currency of materials;
Minute book maintenance, preparation and filing of minutes, resolutions, returns, certificates, registers, amending documents, and other minute book materials and database maintenance;
Coordinating the update of the governance section of Pembina's website;
Preparation and filing of SEDI reports, TSX forms and the coordination of SEDAR filings;
Assisting with director onboarding;
Assisting with annual meeting matters;
Providing exemplary corporate administrative support for the legal group;
Editing, proofreading, drafting and formatting correspondence, legal agreements, monthly reports and/or various presentations;
Providing support to Pembina's legal team on various matters;
Other duties as required from time to time by the legal team;

Job Qualifications
10+ years’ experience, with securities, corporate secretarial and/or paralegal experience;
Legal Assistant or Paralegal Diploma or equivalent;
Working knowledge of insider trading filings, NYSE and TSX filings is an asset;
Professionalism, discretion and strong interpersonal and telephone skills;
Must have intermediate to advanced computer skills including all Microsoft Office applications: Word, Excel, PowerPoint, and Outlook. SAP, FileNet and Diligent will be considered assets;
Able to quickly modify work priorities to meet unexpected and sometimes competing deadlines; and
Practical, detail oriented, flexible and dedicated team player who is also capable of working independently.

Legal Counsel
(2-Year Contract until December 2024)
Position Location: Toronto Head Office – 22 St. Clair Avenue East
We are looking for a lawyer, reporting to our Director, Legal Services, to provide legal support and advice to Management and for identifying risks associated with their specific areas of law.
Responsibilities
Responsible to draft and negotiate contracts and agreements and ensure they meet the NWMO’s requirements and are in line with the NWMO’s business objectives.
Advise on Indigenous law matters including governance, negotiate and draft long term agreements with indigenous communities for the hosting of the deep geological repository.
Negotiate and draft agreements with municipal communities for the hosting of the deep geological repository.
Understand and advise on implications of federal and provincial legislative and regulatory frameworks that will be relevant for the future phases of work at the NWMO including implications related to impact assessment, transportation, nuclear fuel waste and construction law.
Recommend actions to ensure compliance with legislation and regulations within business constraints and contribute to developing creative solutions.
Provide legal advice and strategic guidance, in a timely and organized manner, on labour relations matters and in support of the collective bargaining process.
Collaborate with management to develop effective strategies on a variety of issues.
Carry out research to keep up to date with legislative and case law developments and educate staff about new or updated requirements and regulations.
Deal with complex matters with multiple stakeholders at all levels within the organization.
Provide clarification and or interpretation to all employees and managers of language contained in contractual documents, standards and regulations, policies such as the code of conduct, collective bargaining agreements and other material containing legal or sensitive material.
Perform other duties as required.
Qualifications and Experience
LLB degree, member in good standing in the Law Society of Upper Canada
A highly skilled Lawyer with at least 3 years’ experience and a proven ability to provide strategic advice within various areas of law including Indigenous Law matters.
Experience in a major law firm or in-house legal team.
A team player who inspires credibility and trust.
The proven ability to give practical and reasoned advice in a timely and organized manner.
The ability to understand business constraints and to contribute creative solutions.
Proven ability to work effectively with decision makers and corporate staff.
A strong interest in the role played by the NWMO in the power industry and the future success of the electricity industry in Ontario.
Self-directed and motivated; performance and results driven.
Accepts ownership and accountability and possesses a high level of integrity.
Proven ability to develop and incorporate vision and strategy into department objectives and priorities.
Possess good judgment and sound business acumen.
Strong communication and presentation skills.
Other Information
Must be eligible to work in Canada and must be able to meet security clearance requirements.
NWMO currently operates in a hybrid work model of 3 days in the office (Tuesdays being mandatory) and 2 days working from home. NWMO also has a vaccination policy in place.
