    Team Profile:
  The Legal and Compliance Division assists Morgan Stanley in achieving its business objectives in a manner consistent with the Firm’s core values and Global Risk Management Principles, by facilitating and overseeing the Firm’s management of legal, regulatory and franchise risk. Professionals within Legal and Compliance provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the Firm's invaluable reputation for integrity and protect the Firm from sanctions with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the Firm's businesses.
  Position Description:
  Morgan Stanley is seeking an attorney for its Vancouver office, who will be primarily focused on the Commodities businesses in Canada and the Western United States and will join an established, experienced team based in New York with a focus on coverage of the North American Commodities businesses. Primary Responsibilities:
 
  • Role: Vice President or Executive Director, commensurate with experience.
  • Provide day-to-day legal and regulatory advice to Commodities personnel on a variety of issues involving physical commodities and Over The Counter derivatives.
  • Draft, review, negotiate and approve legal documents, including master agreements, credit support arrangements, structured trade confirmations, loan documents and confidentiality agreements.
  • Liaise between the business units and outside counsel on specific issues.
  • Assist with litigation and regulatory inquiries relating to Commodities.
 

QUALIFICATIONS

Skills required:



We are seeking an attorney with at least 10 years' experience at a law firm or major in-house legal department, who is admitted to practice in Canada.

The ideal candidate will possess:

  • Experience negotiating and advising on a variety of commercial contracts (including ISDA Master Agreements, physical gas and power agreements and related agreements);
  • Strong organizational, project management and reporting skills;
  • Excellent drafting and communications skills;
  • Ability to manage and prioritize multiple projects with competing deadlines; and
  • Strong interpersonal skills and ability to work in a group or independent setting.
