Job Description:
Reporting directly to the President and CEO, the Vice President Legal, General Counsel & Corporate Secretary provides independent counsel on a broad range of legal, business, regulatory and compliance matters, and serves as a key member of the Company’s Senior Leadership Team. From a Corporate Secretary perspective, the role is accountable for providing corporate governance expertise and administrative oversight for all corporate proceedings and related corporate records.
Accountabilities :
The General Counsel is responsible for providing legal representation, guidance, and advice in all substantive areas of law affecting the Company, and is specifically responsible for the following:
Leading and engaging a talented team of lawyers and support staff, as well as the Company’s compliance, ombudsmen, and government relations team.
Delivering and managing the provision of high quality, timely and cost-effective legal services to meet the Company’s corporate, strategic and operational needs.
Analyzing insurance regulatory requirements and the law and working with management to comply.
Proactively counseling business partners on emerging legal issues, risk and on strategic initiatives.
Collaborating, as needed, with other legal divisions, including the Allstate Corporation’s US legal team, to provide support for corporate acquisitions, dispositions, reorganizations, and strategic investments, as well as provide support for the negotiation, drafting and interpretation of legal agreements with service providers and other external parties.
Overseeing and coordinating the management of significant corporate litigation as and when required.
Leading the Company’s Ombudsmen team in responding to queries or complaints made under applicable legislation. Investigate compliance issues and coordinate responses to regulatory inquiries or examinations.
Overseeing government relations activities for the company, including developing and maintaining relationships with insurance regulators and legislators for purposes of negotiating the most advantageous position for the company in compliance with the law.
The General Counsel also acts as Corporate Secretary to the Company and those principal responsibilities include:
Developing, implementing, and managing appropriate systems and processes to ensure the Board’s ongoing compliance with its corporate governance obligations.
Ensuring the Board and its Committees are provided with all information and support required to enable the proper and effective discharge of their respective duties.
Acting as Secretary to the Board and its Committees and carrying out their respective directions as required.
Ensuring the Company’s responsibilities under applicable corporate law are complied with, including but not limited to:
Compliance to applicable governing legislation and constitutional documents
Maintaining minutes and corporate records related to Board and Committee meetings
Responding to shareholder information requests
Filing corporate returns as required and within statutory timeframes
Convening and overseeing the conduct of members’ and/or shareholders’ meetings
Qualifications :
Law degree from a Canadian law school or equivalent.
Member of the Ontario Bar in good standing.
15 years of corporate experience gained in a leading law firm or sophisticated in-house environment, including experience in regulated financial services and public companies.
Experience managing relationships with provincial and/or federal regulators.
Demonstrates sound judgment with the ability to critically analyze situations, problem-solve and deal with ambiguity.
Exhibits a business-minded approach to law.
Fundamental knowledge of insurance products, distribution systems, claims processes, compliance, and operational risk.
Ability to develop strong relationships throughout the organization and influence senior leaders and teams.
Strong negotiation, mediation, and facilitation skills.
Proven leadership skills with the ability to develop, coach and manage a team
