Senior Legal Counsel reports to the Vice President and Associate General Counsel, the Senior Legal Counsel provides expert and high-quality legal advice (in English, French and/or Spanish is an asset) and counsel on all employment matters to the Bank with respect to business, activities and transactions, to ensure business results are met in accordance with legislative guidelines and Scotiabank's overall corporate governance. The Opportunity
Reporting to the VP & Chief Counsel, Corporate Law, this role of Senior Counsel, Global Corporate Legal Affairs will support a broad range of legal matters related to Manulife’s financial, timely ,and ESG-related public disclosure, as well as support Manulife’s proprietary investment, acquisition and divestiture activity.
Responsibilities for this role include:
Legal support for financial, timely, and ESG-related public disclosure matters, including providing advice regarding Manulife’s disclosure obligations, reviewing disclosure material, and drafting disclosure material
Supervising emerging legal and regulatory developments in securities laws, proactively assessing their impact and recommending changes to disclosure and to disclosure policies, practices and controls
Supervising the filing of financial disclosure documents with various securities regulators and stock exchanges
Legal research and memorandum drafting
Structure and negotiate private fixed income investment acquisitions ( e.g ., private placements, project finance, and P3 transactions) for Manulife’s global on-balance sheet portfolios; support the management of these assets through their life cycle
Acting as a liaison with other Manulife groups (Finance, Sustainability, Risk) on disclosure matters
What will be encouraged from Me?
Law degree and admission to the Bar required.
4-7 years of proven track record in securities and/or corporate transactions, ideally gained in a large or mid-sized law firm and/or large public company.
Understanding of the Canadian and U.S. public company regulatory environments and familiarity with Canadian securities laws and regulations, and applicable rules of the Toronto Stock Exchange and the New York Stock Exchange would be an asset.
Experienced with public disclosure work
Excellent verbal and written communication skills; strong drafting skills

The Regulatory Lead will work closely with all BIG constituencies, including Investments, Legal & Regulatory, Finance & Operations, Risk, and Marketing constituencies, with a focus on implementation and administration of the Regulatory Compliance Program across BIG’s global business activities. Based in New York, the position offers an excellent opportunity in a dynamic environment for a senior-level attorney with a “hands-on” approach to become an integral part of BIG as well as BAM’s broader Legal & Regulatory Group.
To qualify, candidates must:
be called to the Bar in the United States with 10+ years of relevant legal experience;
possess knowledge of laws, rules and regulations applicable to investment advisors and private funds, in particular the Investment Advisers Act of 1940, related securities laws and applicable fiduciary requirements;
be well organized, thoughtful, attentive to detail, analytical, self-motivated, pro-active, and solutions-oriented;
have strong written and verbal communication skills, strong interpersonal skills and the ability to foster relationships with different constituencies and their personnel;
be comfortable working independently and as part of a team;
have asset management legal & regulatory experience, with a preference for law firm and in-house experience advising global asset management firms focused on managing private funds and related investment vehicles; and

The position will be responsible for and focus on the following:
Implementation and administration of BAM’s Regulatory Compliance Program within BIG, including advising on and facilitation of:
investments and related business activities, with a focus on ensuring compliance with regulatory requirements and adherence to internal protocols, including appropriate resolution of conflicts of interest considerations and other fiduciary matters;
regulatory monitoring activities with respect to business and employee activities;
employee training and awareness communications; and
regulatory reporting and filing requirements.
The Regulatory Lead will also be responsible for close coordination with BAM’s Chief Compliance Officer and BAM’s broader Legal & Regulatory group to ensure efficient development and application of BAM’s Regulatory Compliance Program, including (among others) facilitation of the design and evolution of the Regulatory Compliance Program in connection with:

What is Franklin Templeton’s Canadian Legal Department responsible for ? The Canadian legal department provides practical legal advice and service to the broader organization by reviewing and analyzing the laws and regulations of the jurisdictions in which Franklin Templeton Canada operates. Our in-house lawyers interpret these laws and regulations and advise the business on actions required to comply with legal and regulatory obligations. They also guide the business on appropriate courses of action to minimize risk from financial or reputational loss. What is the Investment Management Lawyer responsible for? You will provide advice to Franklin Templeton’s Canadian retail, institutional and high-net-worth business units on a wide variety of legal and regulatory issues and projects reporting to the Senior Corporate Counsel. What are the ongoing responsibilities of an Investment Management Lawyer?
Draft and review mutual fund, ETF and private pooled fund offering documents and supporting documents to ensure compliance with applicable disclosure, legal and regulatory standards
Draft investment management/subscription/advisory agreements with institutional clients and for the sale of institutional services and/or products
Provide advice regarding new legal/regulatory/market developments that may impact Franklin Templeton’s Canadian business
Advise on individual and firm level registrant regulation matters
What ideal qualifications, skills & experience would help someone to be successful?
Law Degree, member in good standing of a provincial Bar
2 – 4 years of experience in investment management or corporate/securities law, gained in a leading law firm, large company or financial institution
Knowledge of and experience with securities legislation, the various national instruments governing investment funds and registrant regulation requirements
Client-focused, with excellent verbal and written communication skills and a team player attitude
High level of attention to detail and accuracy as well as the ability to balance multiple priorities within deadlines
