Senior Legal Counsel required by CNL, Canada’s national nuclear laboratory and waste management and remediation corporation, to be a strategic partner providing support to CNL’s major projects within its Environmental Remediation Management (ERM) portfolio; including in particular its historic radioactive waste programs (HWP) based in Port Hope and focused on the Port Hope Area Initiative (PHAI) and Northern Transportation Route sites. Senior Legal Counsel is responsible for managing legal matters and bringing appropriate resources to meet CNL’s legal needs, either by doing the work her/himself, with support as required from other members of the CNL Legal team and/or other CNL SMEs and/or bringing in external (primarily legal) resources. Initially will devote approximately 50% of time to the Port Hope Area Initiative (PHAI) and to the extent possible and/or as required work at the Port Hope offices and participate in senior project management level decision making and project relations with government and community stakeholders. The fundamental guiding principle of the position is to provide practical legal advice while appropriately balancing risk and opportunity.


  • Sr. Legal Counsel will provide advice to project teams, management and executive members on legal issues, with a special focus on issues relating to procurement and contracting with suppliers for large, complex or strategically important projects and environmental remediation and waste management projects.
  • Lead the formulation, negotiation, legal review of procurement and contractual documents
  • Drafting and providing advice on the drafting of procurement and contractual documentation
  • Formulating strategy for successful contracting with suppliers on large, complex, or strategic procurements
  • Sr. Legal Counsel will provide advice on major project procurement strategy, issues and implementation, including responsibilities to:
  • Provide legal support to CNL ERM and HWP organizations, including identifying project construction, health & safety and environmental/waste management requirements
  • Identify and participate in the implementation and management of proactive approaches to procurement and contract management in order to prevent or mitigate legal risks
  • Help devise strategies to result in "best value" to CNL
  • Provide legal support to CNL’s Contract Administration staff throughout project lifecycles
  • Provide leadership on issues of dispute avoidance in the management of contracts
  • Assess and provide advice on minor contractual disputes or claims
  • Manage and negotiate significant commercial claims and legal actions


  • Practicing Lawyer, Member in good standing with Law Society within Canada


  • At least 6-10 years post call experience, with existing in house experience preferred.

Abilities and Skills

  • Experience in large construction and infrastructure projects with focus in remediation and waste management beneficial.
  • Experience with construction contractor management and contract compliance, enforcement and dispute resolution.
  • Understanding and experience with environmental & waste management laws, employee health & safety laws and permitting in relation to major projects.
  • Knowledge of procurement law and purchasing and business best practices.
  • A solid understanding of business fundamentals and a proven ability to make decisions and provide legal advice to ensure project decisions are made for sound business and legal reasons.
  • Effective communication skills required to lead, coordinate and contribute to discussions and presentations within a large complex matrix organization.
  • Effective analytical skills are required to lead dispute resolution efforts and to manage litigation.
