Job Description
The Corporate Counsel is a trusted advisor to the business, providing pragmatic legal advice and assistance. Demonstrating a strong foundation in applicable legislation and corporate requirements, practices and policies, the Corporate Counsel is focused on assisting Indigo in achieving its priorities, projects and processes, while mitigating risk and liability in a cost-effective manner.

KEY ACCOUNTABILITIES
Strategic
Maintain a high level of strategic foresight by identifying customer and business needs, and adjusting departmental and team objectives accordingly.
Functional
Act as an advocate for the customer by placing them at the forefront of all decision-making processes.
Provide proactive, pragmatic legal advice and support to business units on a wide range of day-to-day commercial matters, including technology initiatives, intellectual property, information security, privacy and related matters, promotion and marketing campaigns, commercial and IP dispute resolution and litigation management.

Les prérequis
Pour vous joindre à notre équipe, vous devez
· être titulaire d’un diplôme d’études universitaires de premier cycle équivalant à une 16e année d’études et reconnu par une autorité compétente dans le domaine du droit;
· être membre du Barreau du Québec ou de la Chambre des notaires du Québec;
· posséder un minimum de 2 années d’expérience dans le domaine de la fiscalité des entreprises;
· avoir le statut de citoyen canadien ou celui de résident permanent, ou encore être titulaire d’un permis de travail valide au Canada.
L’élément suivant pourrait être considéré comme un atout : détenir un diplôme d’études universitaires de deuxième cycle en fiscalité ou avoir suivi le Programme fondamental d’impôt de CPA Canada.

Notez que, selon la présente convention collective, les avocates et avocats et les notaires ont droit, en plus de leur salaire annuel, à une prime de fonction juridique équivalant à 2 % du traitement versé pour chaque heure régulière rémunérée. Cette prime n’est pas assujettie à la cotisation au régime de retraite.
Notez que l’échelle salariale affichée est celle en vigueur au 31 mars 2023. Celle-ci sera revue suivant la conclusion des négociations collectives.

We are looking for a minimum of 4 years post call experience in corporate commercial or transactional law gained either in a leading law firm or in-house law department setting. Applicants with more than 8 years post call experience may be considered for a Senior Counsel role.

1. Contract Review and Negotiation :
Review, draft, and provide proactive negotiation support on a variety of contracts, agreements, and legal documents for ATS’ North American operations.
Development of contracting models that both meet the needs of the businesses and is cost effective; and then delivering upon those models.
Ensure legal compliance and mitigate risks in contractual arrangements.
2. Legal Advisory:
Provide legal guidance and advice to ATS' North American operations.
Stay abreast of U.S. and Canadian laws and regulations affecting the industry and business operations.
3. Dispute Resolution:
Manage and oversee legal disputes, litigation, and alternative dispute resolution processes.
Work closely and cost efficiently with external counsel, when necessary.
4. Training and Development:
Provide legal training to ATS’ North American operations, ensuring awareness of legal risks and compliance obligations.
Foster a culture of legal and ethical awareness and compliance within the team and the organization.
5. Risk Management:
Identify, assess, and mitigate legal risks associated with business operations to protect the ATS' interests and minimize legal exposure.
Implement risk management strategies to protect the ATS' interests.
Proactively ensure that all business activities are performed with highest ethical standards and in compliance with applicable laws.
6. Collaboration and Communication:
As the need arises collaborate from time to time with cross-functional teams, including finance, corp. development and human resources in relation to mergers and acquisitions, HR, compliance, leasing, corporate, risk management, and other matters.
Contribute to the Legal team’s efforts to continuously improve its services and the outcome for the business,
Communicate legal updates and changes in the legal landscape to relevant stakeholders.
QUALIFICATIONS
Education: A J.D. or LL.B. and active membership in the bar association of the relevant U.S. and/or Canadian jurisdiction.
