About the Role

Our client, a leading international retail organization, is seeking an experienced and business-minded General Counsel with Employment Law experience to join its executive leadership team. This role is both strategic and hands-on, responsible for overseeing all legal and compliance functions across a large, multi-jurisdictional retail operation.

With a substantial retail workforce across Canada and abroad, employment law is a core component of this role. The ideal candidate will bring deep, in-house experience supporting a large labour force within a complex retail or similarly high-volume environment.

In addition, the organization is actively pursuing ongoing mergers and acquisitions, making strong M&A experience essential. M&A experience may come from private practice or in-house roles.

Key Responsibilities

• Serve as a strategic advisor to the CEO, executive team, and Board of Directors on legal rights, obligations, and evolving regulatory matters.
• Oversee all legal affairs, including corporate governance, contracts, compliance, employment matters, and litigation management.
• Lead employment law strategy for a large retail workforce, including workplace policies, labour standards, investigations, and evolving workforce regulations.
• Draft, negotiate, and review a wide range of commercial and employment agreements.
• Manage global regulatory compliance and ensure operations meet applicable retail, labour, privacy, and consumer protection laws.
• Maintain corporate records and oversee statutory filings, licensing, and entity registrations.
• Lead or support mergers, acquisitions, divestitures, and related strategic transactions from diligence through closing.
• Partner closely with Human Resources to ensure compliant, scalable, and best-practice employment frameworks across all retail jurisdictions.
• Manage relationships with external counsel and develop internal policies to support efficient, aligned legal operations.
• Oversee intellectual property matters, including trademarks, brand protection, and proprietary assets.

Qualifications & Skills

• LL.B. or J.D. from an accredited law school.
• Minimum 7+ years of legal experience, with required in-house employment law experience supporting a large-scale labour force (retail strongly preferred).
• Significant M&A experience (may be gained from private practice and/or in-house).
• Member of the Ontario Bar; U.S. or other international qualifications considered an asset.
• Strong background in employment law, corporate governance, regulatory compliance, and commercial contracting.
• Proven ability to operate in a fast-paced, high-volume retail or multinational environment.
• Exceptional drafting, negotiation, and communication skills with a practical, business-oriented mindset.
• High degree of professionalism, integrity, and sound judgment with the ability to influence at the executive level.
