The Kinross Corporate Head Office is located in downtown Toronto and supports Kinross’ operations and projects worldwide. Corporate functions include Finance, Procurement, Health & Safety, Human Resources, IT, Investor Relations, Exploration, Geology and Mine Planning, among others.

Job Description

Reporting to the Assistant General Counsel, assisting with the management and administration of the Company’s legal affairs and issues

Job Responsibilities

1. Contracts

Review/negotiate/draft and provide advice in respect of a broad range of contracts (including confidentiality agreements, engineering and construction contracts, option/joint venture agreements, and supplier/consultant contracts) and, as necessary, engage/manage outside counsel in their performance of same

Develop and review standard form contracts in consultation with applicable internal functional leaders, internal regional counsel, and external advisors

Advise on and review/draft of agreements in respect of non-executive employment matters

2. Policies, regulatory filings and corporate governance

Assist with the implementation, administration, and enforcement of core corporate policies/procedures, including employee education programs and an annual review process, and leads other policy drafting/review initiatives

Advise on ordinary course regulatory matters and securities filings, and review or draft related documentation

Prepare/review continuous disclosure documents and processes, including Management Discussion & Analysis and the Annual Information Form

Advise on matters related to subsidiary governance/maintenance and securities compliance

3. Transactions

Advise on ordinary course corporate transactions and asset acquisitions/divestitures, including reviewing/negotiating/drafting applicable transaction documents

Provide required legal leadership and support for corporate transactions including mergers and acquisitions and financings, including conducting and managing due diligence, assisting with the negotiation/review/drafting of transaction documents and providing other transactional support/advice

Assist the corporate development team with the management of the electronic data room

4. Litigation

Manage non-material litigation and support legal team in the management of material litigation

Assist with quarterly and annual audit enquiries

5. General

Manage and/or support legal department on strategic operational initiatives

Advise on the legal aspects of corporate development and exploration initiatives, commercial and contractual matters, employment law and mine operating issues

Liaise with and provide legal analysis/advice to members of senior management and functional leaders on a variety of legal issues

Support regional internal counsel as needed

Stay abreast of material legal developments including with respect to corporate governance and public disclosure obligations and update the legal and business teams as needed

  • Superior verbal, writing and drafting, analytical and negotiation skills and the ability to interact effectively with all levels of employees and management
  • Knowledge of employment laws, environmental laws
  • Strong business orientation and acumen, with an ability to advise senior management

Education and Experience

  • Undergraduate degree (in Business would be an asset)
  • Law degree from an accredited Canadian or U.S. law school
  • Qualified to practice law in Canada and/or the U.S.
  • 4-6 years of general corporate/commercial or securities law practice experience with a top tier law firm or in-house with blue chip company
  • Superior knowledge of corporate transactions and Canadian securities laws
  • Work experience in the natural resources industry, preferably in mining, would be an asset
  • Superior analytical, negotiation, writing and drafting skills, particularly involving transactional and other contractual arrangements
  • Organized and detail oriented, with an ability to prioritize, meet deadlines and work effectively, individually and as part of a team, in a dynamic, fast-paced, challenging environment
  • Highly motivated, independently driven, and able to work independently with minimal supervision
  • Strong business orientation and acumen, with an ability to advise senior management
  • Excellent interpersonal and communication skills
