The Managing Lawyer is accountable for supporting the achievement of Allstate Canada Group’s short and long term Mission, Vision and strategic objectives by supporting all in-house lawyers and staff members to provide efficient and cost effective legal advice and support to ACG business units. Accountabilities:
Supervise direct reports of Associate and Intermediate Lawyers
Write and conduct performance reviews of team members, including checkpoints and Performance Evaluation plans
Provide coaching and support to team members
Perform work quality reviews
Work as part of management team with Director and VP
Contact claims (initial litigation plan, recurring minimum 90 day contact, strategy conferences, etc)
Review all documentary evidence

2. Dispute Resolution
· Handle maritime and other disputes, including arbitration and litigation, involving vessel collisions, cargo claims, salvage, pollution, and other maritime-related issues.
· Represent the company in negotiations and mediation to resolve maritime or other disputes.
3. Due Diligence
· Conduct due diligence on maritime and other transactions, including vessel acquisitions, mergers, and acquisitions, to assess legal risks and provide recommendations.
· Prepare legal opinions and reports for CAC on due diligence.
4. Legal Research and Analysis
· Legal research on maritime, environmental. commercial and cultural Heritage laws, regulations, and precedents to support legal strategies and opinions.
· Analyze complex legal issues and provide clear and practical advice.
5. Compliance law
· Stay up to date with international maritime or other regulations and advise on compliance requirements, including environmental regulations, safety standards, and flag state obligations.
· Assist CAC in obtaining necessary permits, licenses, and approvals for maritime operations.
6. Documentation and Legal Drafting
· Draft, review, agreements, and prepare legal documents, including contracts, agreements, briefs, legal opinions, memorandums and more ensuring accuracy, clarity, and compliance with relevant laws and regulations.
· Structure and negotiate investors related to maritime ventures, joint ventures, equity investments, and financing arrangements.
· Ensure that investor contracts align with the objectives and interests of CAC and the investors.
· Vendor contracts, partnership agreements and negotiate a wide range of maritime contracts, including charter agreements, shipbuilding, vessel sale and purchase agreements, maritime financing agreements, partnerships grant funding with global oceanographic research institutes and universities, dry dock, marina berth/membership, boathouse sales/rental, floating homes sale and rental, marine and aviation fuel/lube, dis-charge supply, legal memorandums for yacht brokers, charter management companies, Uboat Works. Including reviewing contracts and working with insurance companies and with offshore banks and government departments in Canada, USA, and Europe, including any/all countries and international waters in CAC will be operating.
Qualifications
· Must have a bachelor’s in law degree from an accredited Canadian law school.
· Member of Canadian Bar Law.
· A minimum of 15 years of experience practicing maritime law, with a focus on international maritime law and maritime contracts.
· Expert in international maritime conventions, regulations, and industry standards.
· Proven experience in negotiating complex maritime contracts and handling maritime disputes.
· Treasure Artifact Sales Specialist selling treasure artifacts through legal channels and requires extensive knowledge in this area.

Monitor developments and maintain expertise in all applicable legal and professional obligations, industry standards and best practices regarding privacy and data protection; and
Oversee external counsel as required.
What you bring to the role
You have 7-10 years of experience in advising on privacy and data protection matters and in developing and managing privacy and data protection programs, preferably through a combination of law firm and in-house experience.
You are highly knowledgeable in all Canadian federal and provincial privacy laws and regulations, as well as CASL and GDPR.
You hold a degree in law, and are licensed to practice law in Canada.
Certification as a privacy specialist, while not mandatory, is preferable.

The SickKids Legal Services team is looking to add a collaborative and proactive Legal Counsel with experience in Intellectual Property (IP) law and all aspects of technology transfer, including licensing. Primary responsibility for managing all aspects of departmental administration (including but not limited to managing invoices and accounts payable, incoming mail, office supply requirements, employee onboarding procedures and other routine administrative functions)
Support law clerks and lawyers including:
Preparing filings and correspondence
Drafting and amending routine agreements
Coordinating corporate insurance applications and related information
Managing files/records relating to property leases, trademarks
Liaise/manage internal/external requests for documents/information
Support/manage special projects as required (example Legal department website)
In connection with all of the above, liaise as required with senior management, other departments, outside legal counsel, third party support services
WHAT YOU WILL BRING
Experience:
2+ years of experience at CI; strong familiarity with CI procedures and personnel an asset
Strong in Microsoft Outlook, Word and Excel; experience with other Microsoft office tools an asset
SharePoint experience preferred
Education/Training
