Nous sommes à la recherche d’un(e) conseiller(ère) juridique qui se joindra à la fonction Services juridiques et gouvernance et Affaires de l’entreprise (LG&CA) de Rio Tinto et participera aux affaires impliquant les établissements du secteur minier canadien de Rio Tinto situés à Terre-Neuve-et-Labrador, au Québec et dans les Territoires du Nord-Ouest.
Ce poste est une excellente occasion pour le candidat ou la candidate retenu(e) de fournir des conseils juridiques de nature générale dans le cours normal des activités de ces établissements, mais également dans le cadre de nouveaux projets de développement et de transactions potentielles. Relevant du conseiller juridique principal, Secteur minier canadien, vous travaillerez au sein d’un environnement stimulant et intéressant et offrirez du soutien juridique en exécutant les tâches suivantes :
Gérer et atténuer les risques juridiques, commerciaux et réputationnels importants de Rio Tinto en effectuant des recherches et des analyses juridiques ainsi qu’en fournissant aux équipes de gestion des conseils clairs et axés sur les affaires.
Agir comme conseiller ou conseillère en participant à la rédaction de divers documents juridiques et aux négociations qui les entourent ainsi qu’à la gestion de projets désignés.
Être à l’affût de tout événement interne important et de l’évolution du contexte juridique externe pouvant requérir des conseils juridiques.
Assurer la liaison, établir et entretenir des relations de travail fructueuses avec les membres de l’équipe mondiale des Services juridiques de Rio Tinto et, à l’échelle locale, avec les unités d’affaires et les fonctions internes du Groupe en promouvant la collaboration et le partage de l’information.
Passer en revue et rédiger des modèles de documents qui peuvent être nécessaires dans le cas de transactions ou de situations répétitives.
S’assurer que les normes les plus élevées de gouvernance et de conformité sont respectées afin de rehausser et de protéger la réputation de Rio

What you’ll bring

Senior Legal Counsel reports to the Vice President and Associate General Counsel, the Senior Legal Counsel provides expert and high-quality legal advice (in English, French and/or Spanish is an asset) and counsel on all employment matters to the Bank with respect to business, activities and transactions, to ensure business results are met in accordance with legislative guidelines and Scotiabank's overall corporate governance. As part of the Capital Markets and Treasury Risk Management sector, our team is comprised of 6 lawyers and a technical advisor. Our team’s mission is to offer sound legal support to and for the Bank’s national and international desks, namely in Montreal, Toronto, Calgary, New York, Dublin, London and Hong Kong. Mainly, we negotiate and manage the main transactional financial contracts with the Bank’s clients internationally.

Prerequisites :
Member of the Bar of Quebec (Barreau du Québec)
Knowledge of and prior experience in negotiating the ISDA Master Agreement, Global Master Repurchase Agreement (GMRA) and Global Master Securities Lending Agreement (GMSLA)
Knowledge of financial transactions law and/or derivatives law
Knowledge of the Margin Requirements for Non-centrally Cleared Derivatives (UMR) in Canada and the United States and the various collateral arrangements documentation related to such requirements.
Strong interpersonal and teamwork skills
Ability to work under pressure and effectively prioritize between multiple projects and willingness to expand knowledge into new areas of law as may arise

The Opportunity

Must be bilingual (French and English)
Corporate law experience, specifically in M&A, Private Equity, and/or Capital Markets, is an asset
Ideally have prior experience with due diligence, contract analysis, closings, and other routine elements of complex transactions
Be proficient using technology and adaptable to change

Administer conveyancing for Vendor/Developer or Purchaser/Lender of residential real estate files from open to close under lawyers direction for purchase transactions;
Commercial real estate experience; provide support for acquisitions and sales of commercial properties, condominium developments, financing transactions and land development;
Preparing, editing and proofreading routine correspondence, such as sales transactions and trust letters;
Responding to client inquiries supporting file matters;
Maintaining and organizing files with a robust follow up system;
Prioritizing workflow to ensure completion of accurate work within established timelines;
Preparing requisitions for wiring and depositing funds;
Establishing a professional rapport with clients and colleagues;
Scheduling appointments and coordinating meetings; and
Any other related duties, as assigned.
REQUIREMENTS
Legal Assistant diploma from an accredited college plus a minimum of two (2) to five (5) years of legal assistant experience preferably related to commercial and residential practice areas;
Proficient with MS Word, iManage, Excel and Outlook;
Strong grammatical skills, including punctuation and proofreading, attention to detail and accuracy are required;
A proven track record of working with confidential information;
Professionalism demonstrated with colleagues and clients both in person and conversing by phone;
Able to work under pressure to meet deadlines, remain calm with a sense of urgency while maintaining a positive team driven work ethic using sound judgement;
Able to adapt to changing priorities, work with minimal instruction and a willingness to assist in a team member’s absence;
Self-starter who is able to take initiative and approach colleagues and lawyers to solicit work;
Excellent interpersonal and communication skills;
Takes pride and ownership in the finished work product;
Responsible, dependable and consistent; and
