Job Description

Shopify is the leading cloud-based, multi-channel commerce platform designed for small and medium-sized businesses. Merchants use our software to design, set up, and manage their stores across multiple sales channels, including web, mobile, social media, marketplaces, brick-and-mortar locations, and pop-up shops. We currently power over 600,000 stores in approximately 175 different countries, including stores for Nestle, Red Bull, Rebecca Minkoff, and Kylie Cosmetics.

As Shopify grows, we face increasing volume, scope and complexity in our legal work. As Corporate Legal Counsel at Shopify, you will work on challenging and novel legal issues in multiple geographies. You will need  a broad base of legal knowledge, solid technical and research skills, a wealth of experience, common sense and grit. You must be able to synthesize and analyze information from a variety of sources, spot issues, and efficiently and determinatively come to a business-focused solution that mitigates risk on a tight timeline with limited resources and judicious use of external counsel where necessary. You will own the implementation and management of your solutions over the long-term. The ability to re-calibrate, iterate or pivot when faced with new information or changing circumstances is key.

Reporting to Erin, our Vice-President, Assistant General Counsel, you will regularly support a variety of Shopify teams and collaborate with members of Shopify’s legal team.


Although the role will be ever-evolving, currently we are looking for someone who will be responsible for:

  • incorporating and managing subsidiaries in multiple international jurisdictions;
  • designing and managing subsidiary corporate governance practices and policies;
  • designing and managing processes to support Shopify as we expand into new geographies, both as a service provider and as an employer, and dealing with issues as they inevitably arise;  
  • negotiating, drafting and reviewing a variety of agreements (for example employment agreements, facilities leases, terms of service, procurement agreements, license agreements); and
  • assessing and communicating legal risk while collaborating on the development of  business strategies.

Some requirements for this role:

  • A JD or LLB
  • Relevant legal experience, ideally having started out at a law firm followed by in-house experience
  • Licensed to practice law in either a Canadian or American jurisdiction
  • Experience reviewing, drafting and negotiating complex commercial agreements
  • Experience incorporating and managing international subsidiaries
  • Experience leading projects and managing multiple priorities, stakeholders and deadlines
  • Ability to both work collaboratively as part of a team and on an individual basis without  a lot of guidance or oversight
  • Experience managing external legal counsel Ability to thrive in a dynamic, entrepreneurial environment
  • Exceptional business judgement, relationship-building skills and creativity
  • Strong written and interpersonal communication skills
  • A good sense of humor (we take our work very seriously, but we don’t take ourselves too seriously)
