What You’ll Do: As a Legal Counsel, you will provide legal support to Northland Power Inc. and its global subsidiaries across a broad range of areas, including acquisition and sell-down transactions, project financings, greenfield development projects (onshore wind, offshore wind, solar, storage), operations matters, head office functions and corporate initiatives.

Legal experience and interest working on specific ESG issues (e.g., emissions, Indigenous reconciliation, supply chain, biodiversity, ethics, safety, risk management).
Experience in developing and reporting and communications in accordance with global ESG disclosure frameworks (e.g. ISSB, CSRD, SASB, GRI), and climate-related disclosure requirements (OSFI, CSA, SEC).

Support the development of an integrated offensive and defensive legal strategy to drive and protect the business.

THE OPPORTUNITY
Reporting to the Director, Legal & Compliance, the Senior Legal Counsel will be responsible for reviewing and advising on program proposals, contracts and ensuring compliance with legal and regulatory requirements, with a particular emphasis on CRA considerations.
WAYS YOU CAN CONTRIBUTE
Advise Programs and Finance teams regarding funding proposals involving medium – high risk CRA and charity law related issues and new program areas.
Provide strategic advice on the negotiation and review of funding proposals and funding contracts and communicate feedback appropriately.
Support General Counsel, Director Legal and Compliance, Canada and the Senior Legal Counsel, Corporate Charity and Tax in advising Presidents’ Office and Board regarding corporate governance related matters, as required.
Monitor contract and regulatory compliance on CRA and charity law issues.
Work closely with members of the Legal and Compliance team to maintain and upgrade funding documentation.
Ensure CRA and charity law regulatory compliance as required.
Ensure funding contracts are in line with the Foundation policies, procedures and business objectives.
Participate in various projects as legal support for the Foundation.
Identify, analyze and respond to legislative developments affecting the Foundation – particularly regarding Corporate, CRA tax and other charity law matters.

Who You Are
Degree in law or equivalent (LLB or JD) is required.

UNDERSTANDING CANADA PROGRAMS AT THE FOUNDATION
The Foundation has begun working within Canada in partnership with Indigenous communities and post-secondary institutions to listen, learn, and best understand how we can act in meaningful ways. The EleV strategy was co-created with Indigenous communities, young people, and partners to enable 30,000 Indigenous youth to complete their education and transition to dignified work aligned with their values and aspirations.

THE OPPORTUNITY
Reporting to the Director, Legal & Compliance, the Senior Legal Counsel will be responsible for reviewing and advising on program proposals, contracts and ensuring compliance with legal and regulatory requirements, with a particular emphasis on CRA considerations.

Advise Programs and Finance teams regarding funding proposals involving medium – high risk CRA and charity law related issues and new program areas.
Provide strategic advice on the negotiation and review of funding proposals and funding contracts and communicate feedback appropriately.
Support General Counsel, Director Legal and Compliance, Canada and the Senior Legal Counsel, Corporate Charity and Tax in advising Presidents’ Office and Board regarding corporate governance related matters, as required.
Monitor contract and regulatory compliance on CRA and charity law issues.
Work closely with members of the Legal and Compliance team to maintain and upgrade funding documentation.
Ensure CRA and charity law regulatory compliance as required.
Ensure funding contracts are in line with the Foundation policies, procedures and business objectives.
Participate in various projects as legal support for the Foundation.
Identify, analyze and respond to legislative developments affecting the Foundation – particularly regarding Corporate, CRA tax and other charity law matters.
Provide support in the continuous improvement of legal processes and procedures.

Who You Are
Degree in law or equivalent (LLB or JD) is required.
License to practice law in Ontario or in another Canadian province or territory with ability to transfer to Ontario.

Key Responsibilities Include
Supervision of Students on Advice, Representation, Community Facing Projects, Public Legal Education, and Law Reform Activities of Legal Clinic Programs: Supervises students on the day to day activities of the student legal clinic, which may include provision of legal advice, case file representation, community facing projects, public legal education, and law reform activities. Provides regular consultation and mentoring to students, ensuring accurate legal advice is given with a client-centered, holistic, and empathetic approach.
Legal Clinic Model Implementation: Assists the Legal Clinic Programs team with the implementation of a student legal clinic model. This may include conducting research on legal clinic models and legal needs within relevant communities; assisting with development of legal clinic policies, procedures, and systems; developing student engagement, recruitment, and training strategies and processes; and assisting with the development and delivery of an academic legal clinic seminar.
Special Projects Management: Undertakes short-term special projects or assignments as requested by the Director, Legal Clinic Programs, which may include conducting research and building community relationships and partnerships for prospective project collaborations; preparing and delivering public legal education for diverse equity-seeking communities; leading and/or participating in special events relating to Legal Clinic Programs or hosted by the law school; preparing content and communication materials relating to Legal Clinic Programs; and providing administrative and operational support as required.
Qualifications

The Staff Lawyer will infuse all aspects of their work with an equity-oriented, anti-oppressive, and trauma-informed approach to student supervision, community and client interaction, and legal practice.
Key Responsibilities Include
Supervision of Students on Advice, Representation, Community Facing Projects, Public Legal Education, and Law Reform Activities of Legal Clinic Programs: Supervises students on the day to day activities of the student legal clinic, which may include provision of legal advice, case file representation, community facing projects, public legal education, and law reform activities. Provides regular consultation and mentoring to students, ensuring accurate legal advice is given with a client-centered, holistic, and empathetic approach.
Legal Clinic Model Implementation: Assists the Legal Clinic Programs team with the implementation of a student legal clinic model. This may include conducting research on legal clinic models and legal needs within relevant communities; assisting with development of legal clinic policies, procedures, and systems; developing student engagement, recruitment, and training strategies and processes; and assisting with the development and delivery of an academic legal clinic seminar.
Special Projects Management: Undertakes short-term special projects or assignments as requested by the Director, Legal Clinic Programs, which may include conducting research and building community relationships and partnerships for prospective project collaborations; preparing and delivering public legal education for diverse equity-seeking communities; leading and/or participating in special events relating to Legal Clinic Programs or hosted by the law school; preparing content and communication materials relating to Legal Clinic Programs; and providing administrative and operational support as required.
Qualifications

What can you expect in this role?
Working collaboratively with many areas of the company to review, draft, interpret and negotiate various types of agreements including but not limited to templates, non-disclosure, licenses, professional services, marketing, corporate services and lease agreements, including licenses, professional services, SaaS and other cloud-based services.
Analyzing and interpreting various matters as they relate to the operations of a P&C insurance company, advising a diverse range of operating units on legal issues, regulatory compliance, intellectual property, and negotiation and contract management strategy.
Consulting with other members of our Legal team and acting as a primary source of expertise to provide sound advice and drive consistency in Definity’s approach to partnering with vendors and other third parties
Participating in the continuous improvement of our processes and systems for contracting and legal risk management
Providing assistance for strategic initiatives as required

What do you bring to the role?
Law Degree from an accredited law school (LLB or Juris Doctor)
Licensed by the Law Society of Ontario to practice law as a lawyer in Ontario
At least 3 years of post-call experience drafting and negotiating legal agreements, such as strategic partnerships, vendor agreements, goods and services, software and other licensing arrangements, service level agreements, cloud-based services and other technology-related offerings. Technology transaction experience is an asset, including data privacy and security.
Exposure to insurance or other financial institutions is an asset.
Excellent communication, research and drafting skills, including the capacity to communicate with business partners in the way they want to be dealt with
Outstanding judgment and ability to deal with complex issues and safeguard confidential information
Ability to perform under pressure, meet deadlines and handle multiple, sometimes conflicting priorities
Willingness to build strong business relationships
Exemplary professionalism and integrity
Self-starter with a great attitude.
