Summary

 

TransAlta is currently looking to hire a full-time position for a Corporate Paralegal, reporting to the Assistant Corporate Secretary. This position exists to support the directors and officers in respect of the holding of board and shareholder meetings, attending to corporate filings, providing administrative duties to support the Corporate Secretarial group, and providing meaningful support in achieving the Corporation's corporate governance goals. The successful candidate will be expected to work with a high degree of professionalism, confidentiality, discretion and independence. Efficiency and quality, strong attention to detail, problem-solving skills, together with self-composure, a sense of urgency and a positive attitude are essential attributes for success in this role. This position is based in our Calgary head office. The position is available immediately and applicants that meet the below qualifications are encouraged to apply early.

 

Accountabilities

 

    • Accountable for preparing ancillary documents required in connection with board and shareholder meetings of TransAlta and any of its subsidiaries (including TransAlta Renewables)
    • Accountable for coordinating, drafting and distributing Board agendas as well as the tracking of forward items
    • Assist with maintaining the subsidiaries of TransAlta in good standing in the jurisdictions in which they carry on business, which includes filing of all required annual returns and general maintenance of the minute books
    • Accountable for performing certain administrative functions such as the opening, classification and maintenance of the corporate secretarial department’s files and records, creation of purchase orders, the completion of expense reports, processing invoices, and such other administrative duties as may be required to support the corporate secretarial department

 

Qualifications

 

    • Administrative/Legal Assistant Diploma/Certificate
    • At least 6 years of working experience as a corporate paralegal in either a law firm or in another corporate setting
    • A Proficiency in Word, Excel, and PowerPoint
    • Familiarity with SEDAR, EDGAR and SEDI filings
    • CORES II accreditation considered an asset
    • Must be able to communicate effectively and professionally at all levels within the organization, including members of the Board of Directors
    • Experience with securities legislation considered an asset
    • Able to be responsive to multiple requests, on a timely basis, in a fast-paced, high-energy work environment
    • Must be a multi-tasker and able to take instructions from multiple sources as well as work well in a team environment
    • Must be organized, accurate and have the ability to establish priorities
    • Willing to work flexible hours as required, which may include occasional evenings and weekend
