Execute the delivery of ESG Legal Risk services under multiple ESG and regulatory frameworks (e.g., ISSB, CSRD, OSFI and SEC) and risk areas (e.g., compliance, legal, financial, strategic, reputational).

Conduct disclosure and due diligence reviews, identifying potentially misleading statements or graphics related to ESG strategy or performance.
Legal support for financial, timely, and ESG-related public disclosure matters, including providing advice regarding client’s disclosure obligations, reviewing disclosure material, and drafting disclosure materials.
Identifying emerging legal and regulatory developments in securities laws, proactively assessing their impacts, and recommending changes to disclosures and related policies, practices and controls.
Legal research and memorandum drafting.
Stay on top of and summarize regulatory changes and developments related to ESG disclosure requirements, performance targets, as well as legislation and trends across E-S-G topics.
Maintain an educational program to continually develop skills.
Support client relationships and business development initiatives such as developing proposals.
What you bring to this role:
A minimum of 4 years of corporate/commercial legal experience gained in either a top legal firm or in-house environment with exposure to ESG strategy, performance, or reporting.
Legal experience and interest working on specific ESG issues (e.g., emissions, Indigenous reconciliation, supply chain, biodiversity, ethics, safety, risk management).
Experience in developing and reporting and communications in accordance with global ESG disclosure frameworks (e.g. ISSB, CSRD, SASB, GRI), and climate-related disclosure requirements (OSFI, CSA, SEC).
Industry knowledge is an asset as is experience with joint ventures, public-private partnerships, and major projects.
Demonstrated energy industry experience, including a thorough understanding of the industry and applicable legislation and regulations.
Experience assessing legal risks and opportunities related to environmental, social and, governance topics.
Law degree (LLB, JD, and LLM) and other certifications (e.g., GRI, GARP, CPA).

Essential Responsibilities:
Review contract terms and conditions including associated schedules for identification of risk exposures or concerns which require to be addressed, including unacceptable or unreasonable risk transfer. Recommend alternative or additional contract wording to mitigate, contain and/or transfer risk exposures.
Participate in and provide support during contract negotiations leading to finalization of contracts.
Provide support to project teams related to subcontract issues and any project related agreements.
Proactively identify and recommend changes to document templates and processes including best practices to improve effectiveness and mitigation of company risk exposures.
Handle day-to-day questions arising in connection with administration of contracts and associated documentation.
Qualifications:
Minimum 7 years of related experience in the construction and engineering industry and risks inherent with construction projects
Bachelor’s degree
Familiarity with construction methodology and previous project management experience an asset
Previous involvement in resolving change management issues, disputes and claims an asset
Ability to work with executives and business operations to identify and address legal risks and issues raised in commercial and business development activities, contracts, subcontracts and other business arrangements

Job Description
The Opportunity
Manulife seeks transactional lawyers with 4 to 10 years of meaningful work experience involving the structuring, negotiating and managing of complex transactions including (i) private equity investment transactions, (ii) private equity fund raising and fund management, (iv) senior and junior debt transactions, including private placements, and (iv) mergers/acquisitions. This position works closely with the company’s investment management business and its front-office teams that originate investments around the world. The position will also collaborate with other business teams and legal colleagues in Canada, the United States and internationally to support asset origination, investment management, fundraising and corporate initiatives.
The successful candidates will have deep knowledge of private equity transactions, including both collective investment vehicles and direct investments across a variety of asset classes and industries, as well as fundraising, and familiarity with debt transactions of various types. Experience in cross-border transactions, project finance, infrastructure transactions and/or workouts and restructurings enhances any candidacy. Above all, we seek colleagues who act as trusted advisors and broad problem solvers to partner with business clients to develop prudent, creative solutions that advance and protect the company’s interests.

Job Description
The Opportunity
Manulife seeks transactional lawyers with 4 to 10 years of meaningful work experience involving the structuring, negotiating and managing of complex transactions including (i) private equity investment transactions, (ii) private equity fund raising and fund management, (iv) senior and junior debt transactions, including private placements, and (iv) mergers/acquisitions. This position works closely with the company’s investment management business and its front-office teams that originate investments around the world. The position will also collaborate with other business teams and legal colleagues in Canada, the United States and internationally to support asset origination, investment management, fundraising and corporate initiatives.
The successful candidates will have deep knowledge of private equity transactions, including both collective investment vehicles and direct investments across a variety of asset classes and industries, as well as fundraising, and familiarity with debt transactions of various types. Experience in cross-border transactions, project finance, infrastructure transactions and/or workouts and restructurings enhances any candidacy. Above all, we seek colleagues who act as trusted advisors and broad problem solvers to partner with business clients to develop prudent, creative solutions that advance and protect the company’s interests.
Specific Responsibilities:
Partner with internal clients to analyze and structure opportunities
Review, analyze and negotiate agreements
Manage transaction processes from origination through closing
Direct outside counsel in connection with transactions and other investment matters
Keep abreast of legal, regulatory and market developments
Apply legal principles in a practical way to support and protect the company
Provide general corporate advice to support the company’s investment businesses and operations
Qualifications:
Juris Doctor with 4+ years meaningful experience
Must be (or become) licensed to practice law in Ontario (or other applicable province) or Massachusetts (depending on primary location)
Integrity, collegiality, team orientation, and professionalism
Strong analytical abilities, excellent judgment and outstanding communication skills
Prior work experience at a major law firm and/or in a corporate environment
Ability to work optimally with clients and colleagues remotely and across the globe
Adaptability to shifting demands in an evolving environment
