We currently have an opening for an experienced Legal Counsel to support all stages of corporate and financial transactions and to ensure that the company operates within the legal requirements of local, provincial and federal regulations. This role will also oversee contractual management of various agreements relating to the business operations.

 

Primary Responsibilities

 

    • Review integral corporate documents/materials necessary to comply with federal, provincial and local regulations
    • Create documents, filings and records related to contracts and financial reports, including articles of incorporation or dissolution, and merger and lease agreements
    • Draft various agreements and contracts such as construction undertaking agreements (CUA), intellectual property agreements, service and consultant agreements/contracts, and non-compete agreements
    • Prepare and monitor license agreements and related contracts as required
    • Maintain corporate and financial records, including filings, corporate minute books and investment agreements
    • Research legal, governmental, financial regulations, licensing agreements by which the company must abide
    • Assist with paperwork needed by various regulatory bodies and respond to requests for information
    • Manage, coordinate and administrate contracts to ensure cost effectiveness and schedule compliance
    • Work with the pre-qualification of tenders, award and administration of construction and service contracts including managing contract change orders for in or out of scope items
    • Maintain documentations and records for all projects including construction requests of purchase orders, change orders, contract construction documents and the proposals
    • Perform other related duties as assigned by the CEO

 

Requirements

 

  • University degree in a related program
  • 3-5 years of experience in construction administration preferred, including 3 years in drafting contracts
  • Experience in paralegal and contract administration a must
  • Excellent communication skills both verbal and written
  • Fluency in both English and Mandarin preferred
  • Management of financial and material resources
  • Strong research and attention to detail
  • Highly organized and ability to work under pressure
  • Ability to meet tight deadlines and follow through on projects to completion
  • Excellent judgment, initiative, and resourcefulness
  • Complex problem solving and good analytical skills
  • Strong use of Microsoft Office
