“We need to raise a few hundred million in an equity offering by end of day tomorrow, that’s doable, right?”   “We’re looking at acquiring a company in Sweden, hoping to close end of next week.”   “The Marketing team needs a legal review of their new ad campaign today please.”   “We need a new production agreement for the Studios team, they want to start filming this month.”   The corporate/securities lawyer we seek must be able to juggle competing priorities, be equally adept at playing a lead (or even solo) role on some projects and a supporting role on others, and be able to apply their skills, knowledge and experience to provide user-friendly advice in a collaborative and easy-to-understand way. Making commerce better for everyone is amazing work but super-challenging!   Supporting a variety of teams while working on projects with immoveable deadlines (hello Q2 filings!) is not easy. You should expect to encounter issues you couldn’t dream up if you tried. This work is varied and constantly evolving. That said, practicing at the top of your game with an incredibly smart and highly-engaged team is very fulfilling, and we can guarantee that your work at Shopify will never be boring. This role will involve: drafting our Annual Information Form and Management Information Circular, reviewing interim and annual financials and press releases, and preparing for our Annual General Meeting - working with our Finance and Investor Relations teams managing the legal aspects of acquisitions - working with our Corporate Development team and other members of our Legal team working on various securities, corporate and governance projects and issues - working with other members of our Legal and Finance teams advising on corporate communications and brand matters, reviewing press releases and reviewing a wide variety of marketing and entertainment agreements - working with our Public Relations, Marketing and Studios teams The right person for this role will: be a mid-level corporate/securities lawyer with experience for public capital markets transactions and private M&A as well as some experience drafting and reviewing commercial agreements, extra points for in-house and/or marketing or entertainment law experience but definitely not a dealbreaker if not be an effective and confident communicator - dealing with different teams as a support function means having different strategies to be able to effectively provide counsel be a master at triage and prioritization, able to quickly pivot from providing legal advice on the fly, to reviewing communications, to negotiating acquisitions, to drafting disclosure docs, and back again have humility and a sense of humour - take their work seriously, but not take themselves too seriously have a growth mindset, be willing to learn new things and work on new projects, be comfortable with being uncomfortable, have an entrepreneurial bent and enjoy finding new ways to get involved and add value be able to work with many different types of personalities, adept at developing relationships with the clients they serve, and enjoy working as a team player be self-directed, able to get things done both on their own and working with others, and able to keep a variety of stakeholders organized and focused have a J.D. or LL.B and be licensed to practice law in Ontario We know that applying to a new role takes a lot of work and we truly value your time. Experience comes in many forms, many skills are transferable, and passion goes a long way. If you have any other legal or other super powers (or ideas for our next Halloween group costume), please tell us about them in your cover letter!   Please address your cover letter to Erin Zipes, Vice President, Assistant General Counsel. She’s looking forward to reading your application and finding someone amazing to work with.
