Purpose of Job: Reporting to the Director of Compliance and General Counsel, Senior Legal Counsel is responsible for providing ongoing legal support to business units, and advice on a broad range of corporate, commercial, regulatory, and employment law matters for the Company. Legal duties include negotiating and drafting complex corporate/commercial contracts, providing legal advice on new products and strategies, and on miscellaneous issues as they arise, assessing organizational legal risk, acting as trusted advisor to senior management, and ensuring legal objectives in all aspects of the day-to-day business are met. Key Accountabilities: Review, prepare and/or negotiate contracts and related corporate/commercial documents, as requested Support negotiations with key stakeholders Provide input into legal strategy for new product development Maintain all aspects of corporate and individual registrations for Canadian and US entities, as necessary Review and improve company’s third party vendor due diligence strategy Understand various regulatory requirements, including regular monitoring of relevant legislation and regulatory standards, rules and guidelines, and assist in communicating requirements to management, business partners, and other stakeholders Research, advise and provide support on regulatory and legislative matters Work with Compliance team and other departments to ensure compliance with policies and procedures is enforced across all products, operations, and activities Support review of marketing materials to ensure compliance with internal policies Ensure professional external relationship building with vendors, clients, lawyers, regulators, and auditors Support other compliance functions as may be required Identify, monitor, and manage potential areas of legal vulnerability and risk Efficiently and effectively manage company litigation and enforcement matters Play a key role in support of legislative compliance related to corporate practices such as privacy, access to information, intellectual property and other corporate/commercial matters Provide general legal support for corporate, commercial and human resources/employment matters Provide legal counsel on a wide range of complex legal and business issues Act as the Privacy Officer Perform other duties and responsibilities as required Skills and Behaviour: Highly motivated team player Skilled at managing and navigating complex legal issues Proven leadership abilities that involve building trust, collaboration, and effective relationships Ability to persevere through challenging, high-pressure, and sometimes ambiguous situations An exceptional communicator with the ability to drive seamless execution Highly organized, accurate, and detail-oriented with the ability meet tight deadlines Forward thinking and ability to anticipate needs and act upon requests independently Education and Experience: Called to the Bar in Ontario or in the United States Minimum 5 years of In-House counsel experience Experience in a compliance role in the financial services industry is an asset *Please indicate salary expectations with application.
