Lawyer (Corporate Finance) (Competition 2018.23)   Our organization : The Alberta Securities Commission (ASC) is the industry-funded regulator responsible for administering the province's securities laws. It is entrusted with fostering a fair and efficient capital market in Alberta and with protecting investors. As a member of the Canadian Securities Administrators, the ASC works to improve, coordinate and harmonize the regulation of Canada's capital markets. The ASC has been named one of Alberta’s Top 70 Employers for the past two years.  The Corporate Finance division reviews and monitors issuer disclosure such as offering documents and continuous disclosure, with particular experience in respect of oil and gas disclosure; makes recommendations on applications for exemptive relief from securities laws; and plays an active role in the development of appropriate local and national rules and policies relating to issuers and insiders used in the regulation of the capital markets in Alberta and Canada.  The opportunity:   Reporting to the Manager, Legal, Corporate Finance this position will provide a lawyer a great opportunity to broaden their exposure to securities and administrative law, apply critical reasoning, and ultimately influence the development of securities regulatory policy.   Key responsibilities include: Reviewing applications by issuers, including investment funds, for exemptive relief from securities law requirements; making oral and written recommendations in respect of such applications; and drafting applicable decision documents for consideration by decision-makers. Serving on committees with colleagues from across Canada to: research and analyze securities law policy issues represent and effectively advocate Alberta perspectives engage and consult with market participants develop, draft and coordinate the Canada-wide of harmonized securities rules and policies. Giving frequent oral presentations to and drafting written memoranda for, executive management and the Commission Members (akin to board of directors), among others. Reviewing prospectuses, take-over bid circulars, proxy circulars and other disclosure documents. Providing legal advice in connection with prospectus offerings, take-over bids/issuer bids, proxy contests, and issuer and insider compliance. Researching legal issues and applying critical thinking in developing recommendations.   The ideal candidate will possess: A law degree and membership in good standing with the Law Society of Alberta or equivalent. Significant experience in securities law e.g., public and private financings and M&A transactions is strongly preferred. Experience in respect of one or more of legislative drafting, administrative law, fintech, entrepreneurial financing, investment funds, or the oil and gas industry would be of benefit. Strong communication skills, both oral and written; and attention to detail.
