The opportunity As a result of rapid growth, we are seeking a dedicated in-house Legal Counsel. Someone to be our one-person legal department responsible for international business unit support for contracts and day-to-day legal issues. Among many things, we will count on you to provide pragmatic, innovative, and business-oriented legal counsel and execution of significant strategic imperatives; provide guidance to various Product teams on issues related to partnership deals, new and existing products/features, integration of products, content, services, and technologies; and negotiate and structure major contracts and licensing agreements. Your legal knowledge is balanced with in-depth business knowledge that influences your ability to evaluate risks and make smart decisions. As our new Legal Counsel, you will: Oversee strategy for the protection of all forms of Adlib’s intellectual property Provide redlined recommendations on all standard and nonstandard contracts, and often negotiate directly with customer, attorneys or purchasing staff until consensus has been reached Assess risk and find practical solutions to business and legal problems, including litigation of possible business decisions and offer advice on how to best manage those risks Provide guidance on contract matters to the sales team, including training to employees in contracting practices and procedures Contribute to and influence company policies for contract management. Develop and implement procedures for contract management and administration Administer and maintain contractual records and documentation, ensuring that signed contracts are properly saved and communicated. Monitor competitive terms and customer satisfaction with our terms and conditions and contracting practices, recommending changes when and where necessary. What do you bring to the table? You have: The experience. You have a License to practice Law in Ontario. You have 5-7 years’ experience in a legal firm practicing corporate commercial law and at a software company working with sales on contracts and licenses. A background in business or sales is an asset. The hands-on expertise. You have a deep understanding of technology agreements and broad commercial law exposure. You have experience negotiating, drafting and reviewing legal documents and contracts. You can balance timelines and risks. The knowledge. You have sound and pragmatic business judgment to identify and resolve disputes according to contractual requirements. You have the business acumen to efficiently support complex, international technology transactions. The change management skills. You can build strong relationships across internal teams like HR, Finance, Sales, R&D. You have the ability to listen and to guide an internal team through process changes.
