We hope you will join us as an extension of the Legal Service Center in Canada, where you will work amongst the Canada National team and Ontario Division as the company's primary in-house expert in Canadian Law. Who is Gordon Food Service ? Canadian Stewardship Report Position Summary: This position supports GFS on a North American level in navigating the ever-changing legal landscape. It is a highly professional role, with a great degree of responsibility in guiding business leaders around risk. This role will help to balance the number of legal inquiries that come in from business owners and support the General Counsel in advising the Board of Directors and North American Senior Leadership Team. The role will be based in Milton, Ontario though report to the General Counsel in Grand Rapids, Michigan. They will serve as the first point of legal contact for our Canadian operations. Essential Functions: General provision of legal advice to business and operational employees of company including but not limited to: Commercial Law: Contract negotiation, drafting, review; recommending solutions and mitigating risk Corporate Law: Corporate structuring, governance, navigation of tax issues, transactional document review Real Estate Law: Lease drafting, review; landlord disputes; easements; zoning; use restrictions Labour Law: Management of sensitive legal issues such as employee relations issues Litigation: Management of litigation and collaboration with business personnel on strategy IP Law: Non-disclosure agreements; licensing agreements; consultation on IP, IT, marketing and promotions legal issues Regulatory: Research new regs affecting the business in all areas; conveying them to the business; developing compliance programs. Import/Export/Customs: Experience working with import/export agencies, brokers, tax and duties issues Assist Head Office Legal Service Center with project work and strategic efforts, including the roll out of a global contract lifecycle management technology Support General Counsel in providing legal advice to Board of Directors, North American Senior Leadership, business and operational employees Directs and manages support staff; helps to prioritize their work; gives feedback on their development and progress Performs other duties as assigned Minimum Requirements: Education Required: Bachelor Degree- Finance or Business undergraduate preferred Called to the Bar/ License to Practice Law in good standing Law Degree (LLB) Master Degree Preferred Experience: 7-10 years of post-call legal experience required in 2 more of the substantive areas described above. Experience working as an in-house lawyer (Fortune 500 or comparably sized food industry company with a small legal department is a plus) English fluency required, additional Canadian French fluency preferred. In lieu of the specified experience requirements, a proven capability to perform the essential functions of the job, as demonstrated by an equivalent combination of education, training and/or relevant work experience may be considered.
